In connection with any such sale, the Assignor will execute and deliver all such documents and take all such action as may be necessary or appropriate in order to grant absolute title to the purcnaser(s) of the Lease. 10. Power Of Attorney. (a) The Assignor hereby authorizes and empowers the Assignee, upon the occurrence of an Event of Default, to make, constitute and appoint any officer or agent of the Assignee as the Assignee may select, in its absolute discretion, and with full powers of substitution, as the Assignor's true, lawful and irrevocable attorney-in-fact, with the power, as fully to all intents and purposes for it and in its name, place and stead, to do all acts necessary in the name and stead of the Assignor or in the Assignee's name for the purpose of carrying out the terms and provisions of this Assignment, including but not limited to the following: (i) to endorse the Assignor'S name on all applications, documents, papers and instruments necessary for the Assignee to use and occupy the Premises and exercise all rights as lessee under the Lease; and (ii) to assign, pledge, conveyor otherwise transfer title in and to the Lease, and/or sublet the Premises (or any portion(s) thereof), including executing, delivering and filing all necessary instruments with respsct thereto. (b) The Assignor hereby ratifies and confirms all that such attorney shall lawfully and in good faith do or cause to be done by virtue of the power of attorney granted herein, and hereby releases the Assignee from any liability arising from any good faith act or acts hereunder or in furtherance of this Assignment. Any action or failure or refusal to act by the Assignee under this power of attorney shall be at its election and without liability on its part. This power of attorney shall be coupled with an interest and shall be irrevocable until all Obligations shall have been paid or satisfied in full. 11. Assiqnee's Riqht to Perform the Assiqnor's Duties. If the Assiqnor shall fail to comply with any of its obliqations hereunder or under or in respect of the Lease, the Assignee may do so in the Assignor's name or in the Assignee's name (but at the Assignor's expense), and the Assignor hereby ratifies all that the Assignee may do by virtue of this authorization. Nothing herein contained, however, shall be deemed to Obligate the Assignee to take or perform any such action. - 6 -
