<br />I <br /> <br />r <br /> <br />88-- 10;J045 <br /> <br />Assignor under the Lease; SUBJECT, HOWEVER, to each and every <br /> <br />provision of the Lease and as hereinafter provided. <br /> <br />2.. Acceptance of Assiqnment: Assignee accepts <br /> <br /> <br />the within assignment and agrees to perform and discharge all <br /> <br />of the covenants, terms, conditions and provisions to be <br /> <br />kept, observed and performed by Assignor as tenant under the <br /> <br />Lease from and after the Effective Date as defined in <br /> <br />Paragraph 3 hereinbelow, including, without limitation, the <br /> <br />payment of all rents, additional rents and other charges <br /> <br />reserved in and by the Lease. Nothing herein shall obligate <br /> <br />Assignee to assume or pay any rent, fee, charge, expense or <br /> <br />adjustment attributable to any obligations of Assignor under <br /> <br />the Lease which shall have arisen or accrued prior to the <br /> <br /> <br />Effective Date. <br /> <br />3. Effective Date: This Assignment shall be <br />effective April I~ , 1988 (the "Effective Date"). <br /> <br />4. Notice: Any notice, request, instruction or <br /> <br /> <br />other document to be given hereunder by either party to the <br />other shall be in writing and delivered as provided in the <br /> <br />Asset Purchase Agreement. <br /> <br />5. Counterparts: This Agreement may be executed <br />in one or more counterparts by the parties hereto. All <br />counterparts shall be construed together and ahall constitute <br />one agreement. <br /> <br />6.
