I 88-' 102045 C. Assignor obtained the Successor's interest in the Lease pursuant to an Assignment of Lease effective as of November 30, 1987. D. Pursuant to that certain Asset Purchase Agreement (the "Asset Purchase Agreement") dated as of January 15, 1988, as amended, by and between SunWest Development Co., Inc., a Texas corporation, as Buyer, and Property Development Associates, a California general partnership, as Seller, Assignor desires to assign the Lease to Assignee, and Assignee desires to accept an assignment of the Lease, 'together with all right, title and interest of Assignor thereunder as hereinafter provided. NOW, THEREFORE, for valuable consideration, the receipt and adequacy of which are hereby acknowledged, and in consideration of the premises and the mutual covenants, conditions and agreements contained herein and in the Asset Purchase Agreement, the parties agree as follows: 1. Assiqnment: Assignor hereby transfers, sets over and assigns to Assignee all right, title and interest of Assignor in and to the Lease, TO HAVE AND TO HOLD the same to Assignee, its successors and assignors forever, together with any and all options in favor of Assignor under the Lease, including, without limitations, any options to extend the term of the Lease, to terminate the term thereof, to expand the improvements on the Premises or to purchase the interest of Landlord in the Premises, and all rights of Assignor in or to any deposits and advance payments, if any, made by 2 L -.J L ,.:\ r r ! ! ~- .
