<br />proceeds, accounts, contract rights, trademarks, tradenames,

<br />deposits or other funds or evidences of credit or indebtedness
<br />deposited by or on behalf of Assignor with any governmental
<br />agencies, boards, corporations, providers of utility services,
<br />public or private, including specifically, but without
<br />limitation, all refundable, returnable or reimbursable tap
<br />fees, utility deposits, commitment fees and development costs,
<br />and a 11 other pe rsona 1 p rope rty (othe r than the Fixtu res) 0 f
<br />any kind or character. which ace now or hereafter located or
<br />may be used in or related to the planning, development.
<br />financing or operation of the Property, together with all
<br />access ions, repl acement s and subs t i tut ions thereto 0 r the refo r
<br />and the proceeds thereof.

<br />Rents: All of the rents. income, receipts, revenues,
<br />proceeds, security and other types of deposits, issues and
<br />profits now due or which may become due or to which Assignor
<br />may now or shall hereafter (whether upon any applicable period
<br />of redempt ion or otherwi se) become ent it led 0 r may demand or
<br />claim, arising or issuing from or out of the Leases, or from or
<br />out of the Property or any pa rt thereof (subj ect only to the
<br />limi ted 1 icense granted herei n by Ass ignee to Ass ignor to so
<br />co llect and recei ve the Rents) and the immedi ate, abso lu te and
<br />continuing right to collect and receive the same, inClUding,
<br />without limiting the generality of the foregoing, minimum
<br />rents, addi t iona.i. rents, percent age rents, pa rki ng ma i ntenance
<br />charges or fees, tax and insurance contributions, proceeds of
<br />sale of electricity, gas, chilled and heated water and other
<br />utilities and services, deficiency rents and liquidated damages
<br />following default, premiums payable by any Lessee upon the
<br />exercise of a cancellation privilege provided for in any Lease
<br />and all proceeds payable under any policy of insurance covering
<br />105S of rents resulting from untenantability cauc::;ed by
<br />destruction or damage to the Property, together wi th any and
<br />all rights and claims of any kind which Assignor may have
<br />against any Lessee under any Lease or any subtenants or
<br />occupants of the Property, together with any and all rights and
<br />claims of any kind which Assignor may have against any Lessee
<br />under any Lease or any subtenant or occupant of the Property.

<br />ARTICLE 2
<br />
<br />ASSIGNMENT
<br />
<br />2.1 Assignment. Assignor, in consideration of the sum of
<br />TEN AND NO/IOO DOLLARS ($10.00), and other good and valuable
<br />consideration, the receipt and sufficiency of which is hereby
<br />acknowledged, does hereby GRANT, SELL, CONVEY, ASSIGN,
<br />TRANSFER, SET OVER and DELIVER the Leases and the Rents unto
<br />Assignee, TO HAVE AND TO HOLD the Leases and the Rents unto
