<br />I <br /> <br />S8-=>>> <br /> <br />equipment and facilities of all kinds, and water, gas, <br />electrical, storm and sanitary sewer facilities and all other <br />ut i lit ies, whether or not s i tua ted in easements, togethe r wi th <br />all accessions, replacements, betterments and substitutions for <br />any of the foregoing, and the proceeds thereof. <br /> <br />102044 <br /> <br />Indebtedness: The principal of, interest on and all other <br />amounts, payments and premiums due under or secured by the Loan <br />Documents. <br /> <br />Land: All those certa i n tracts or pa rcel s of 1 and <br />described in Exhibit "A-I" attached hereto and incorporated <br />herein by this reference for all purposes and all those certain <br />tracts or parcels of land that are the subject of the Primary <br />Leases (hereinafter defined) as more particularly described in <br />Exhibit "A-2" attached hereto and incorporated herein by this <br />reference for all purposes. <br /> <br />Leases: All leases, subleases (to the extent of Assignor's <br />interest with respect thereto, whether such interest is as <br />lesso r 0 r les see thereunder) and other agreements (wri t ten or <br />oral, now or hereafter in effect) which grant a possesso~y <br />interest in and to, or the right to use, occupy and enj oy all <br />or any portion of the Property (hereinafter defined), <br />including, wi thout 1 imi tation, those certain leases described <br />in Exhibit A-2 hereto (such leases may sometimes be referred to <br />herein as the "Primary Leases"), and any and all extensions and <br />renewals thereof, together with all rights, powers, privileges, <br />options and other benefits of Assignor thereunder and such <br />other leases, subleases and agreements, including without <br />limitation all the right, power and authori ty of Assignor to <br />(i) alter, modify or change the terms of such leases and <br />agreements, (iO surrender, cancel or terminate such .leases, <br />(iii) make or accept any offer to purchase the Property, or any <br />part thereof, or any award payable in connection with a taking <br />thereof, (i v) requi re any Lessee to purchase the Property, (v) <br />give all notices, consents and releases, (vi) take any legal <br />action upon the happening of a default under any Lease <br />inClUding the commencement, conduct and consummat ion of <br />proceedings at law or in equity as shall be permitted under any <br />provision of any Lease or by law or in equity, and (vii) do any <br />and all other things whatsoever which Assignor or any lessor or <br />lessee, as the case may be, is or may be entitled to do under <br />any Lease, and together wi th any and all gua rantees of the <br />Lessee's obligations under any of such Leases. The term <br />"Lease" shall mean any of the Leases. <br /> <br />Lessee: The lessee or tenant under any Lease other than a <br />Lease under which Assignor is the lessee or tenant. <br /> <br />Lessor: The lessor or landlord under any Lease other than <br />a Lease under which Assignor is the lessor or landlord. <br /> <br />- 2 ~ <br /> <br />L <br /> <br />-.J <br /> <br />L <br />
