Grantor hereby reserves and retains all other property rights in and to the <br />Easement Area, so long as the exercise of such rights does not unreasonably interfere <br />with Grantee's permitted use ofthe Easement Area. <br /> <br />4. Grantor agrees that the parking easement is for the sole benefit of Grantee and <br />will refrain from parking within the easement area. <br /> <br />5. Grantor covenants that it is lawfully seized and possessed of the real estate above <br />described and that it will defend the title thereto against the lawful claims of all persons <br />whomsoever. <br /> <br />6. The parties are in agreement that if Grantee doses offthe vehicle access-way on <br />Grantor's West property line, or if Grantee closes off Grantee's State Street driveway, <br />then Grantor shall be permitted to terminate this easement upon Grantee's receipt of <br />written notification of such intentions. <br /> <br />This agreement shall run with the land, encumbering the property encompassed by the <br />easement in perpetuity, and shall be binding upon and shall ensure to the benefit of the <br />parties hereto and to their respective successors and assigns. <br /> <br />[REMAINDER OF PAGE INTENTIONALLY LEFT BLANK] <br />
