<br />
<br />THIS INDENTURE made this~day of
<br />LLC, a Nebraska Limited Liability Company,
<br />Wisconsin Corporation ("Grantee")

<br />"Grantor"); and MENARD, INC., a
<br />
<br />WITNESSETH:
<br />In consideration of the swn of one dollar ($1.00) and other good and valuable
<br />consideration paid to Grantor by Grantee, receipt of which is hereby acknowledged,
<br />Grantor hereby grants to Grantee, a permanent easement to construct, reconstruct, utilize,
<br />maintain, inspect and/or repair five (5) parking spaces which may be constructed through
<br />the following described property in Hall County, Nebraska, ("Easement Area") to wit:
<br />
<br />The westerly most fifteen (15) feet of Grantor's property legally described as:
<br />
<br />"Lot four (4), Menard Subdivision, in the City of Grand Island, Hall County, Nebraska"
<br />also know as "1904 Diers Ave North, Grand Island, Nebraska 68803"
<br />
<br />The parking spaces shall be constructed substantially in accordance with "Exhibit A"
<br />attached hereto and incorporated herein by reference.
<br />
<br />This easement is granted under the following terms and conditions:
<br />
<br />1. No buildings or structures except surface improvements such as, but not limited
<br />to, standard concrete or asphalt pavement for driveway, parking lot, parking lot lighting
<br />structures, sidewalks, curbs and gutters, trees, shrubs, sod, etc., may be placed in the
<br />Easement Area.
<br />
<br />2. Grantee shall have the right, but will not be obligated, to construct, reconstruct,
<br />replace, operate, maintain and repair any parking spaces within the Easement Area.
<br />Grantee shall be responsible for any reasonably necessary relocation of any underground
<br />sprinkling system located within the easement area. Within a reasonable amount oftime
<br />following performance of work by or on behalf of Grantee, Grantee shall remove from
<br />the Easement Area and surrounding land all equipment, materials and debris resulting
<br />from or used in connection with such work.
