<br />ASSIGNMENT OF LOAN DOCUMENTS
<br />
<br />THIS ASSIGNMENT OF LOAN DOCUMENTS ("Assignment") is made and entered
<br />effective this 15th day of August, 2002, by GREAT SOUTHERN LIFE INSURANCE
<br />COMPANY, a Texas corporation ("Assignor") with an address at 300 West 11th Street, Kansas
<br />City, Missouri 64105, to AMERICa FINANCIAL LIFE AND ANNUITY INSURANCE
<br />COMPANY, a Texas corporation ("Assignee") with an address at 300 West 11th Street, Kansas
<br />City, Missouri 64105.
<br />
<br />WHEREAS, Assignor is the owner and holder of those certain loan documents and
<br />amendments thereto listed and described in Exhibit A attached hereto and incorporated herein by
<br />reference (the "Loan Documents") [include recording information].
<br />
<br />WHEREAS, Assignor desires to transfer and assign the Loan Documents to Assignee
<br />without recourse, and Assignee has agreed to assume and accept the assignment and transfer of
<br />all right, title and interest of Assignor in the Loan Documents.
<br />
<br />NOW THEREFORE, in consideration of the payment of the sum of ten dollars
<br />($10.00), and other good and valuable consideration, the receipt and sufficiency of which is
<br />hereby acknowledged, Assignor hereby covenants, agrees and warrants as follows:
<br />
<br />1. Assienment. Assignor hereby sells, transfers, sets over and assigns to Assignee
<br />all of the Assignor's right, title and interest in and to the Loan Documents, to have and to hold
<br />the same unto Assignee from the date hereof; subject, however, to all of the terms, covenants and
<br />conditions set forth in the Loan Documents, respectively. This Assignment is made without
<br />recourse, warranty or representation of any kind, whether express or implied, statutory or
<br />otherwise. This Assignment to be effective as of December 31, 2001.

<br />2. Further Assurances. Assignor agrees to execute any additional instruments
<br />which are necessary or appropriate to effectuate the assignment and transfer contemplated
<br />hereby, including the assignment and transfer of any agreements, documents, instruments or
<br />certificates executed and delivered in connection with the Loan Documents, or in any way
<br />relat~d therc\vith. Assignor further agrees to make any and all moditications legally required by
<br />any local recording officer to effectuate and properly file this Assignment.
<br />
<br />3. Successors and Assiens. This Assignment, and each and every covenant,
<br />agreement and provision hereof, shall be binding upon Assignor and Assignor's successors and
<br />assigns and shall inure to the benefit ofthe Assignee and its successors and assigns.
<br />
<br />4. State Law. This Assignment, and all rights and obligations hereunder, including
<br />matters of construction, validity and performance, shall be governed by the laws of the state
<br />where any real property which secures the loan evidenced and secured by the Loan Documents is
<br />located.
