<br />200512482 <br />three (3) years and subject to certain other conditions set forth in the Lease. The terms, <br />covenants, conditions, limitations and restrictions governing Tenant's occupancy of the Leased <br />Premises are set forth in the Lease which by this reference is incorporated herein with the same <br />force and effect as though set forth at length herein. <br /> <br />3. Pursuant to that certain Assignment and Assumption of Leases, dated October <br />_, 2005 (the "Assignment") by and between Waitt Media, Inc. and Tenant, the Lease was <br />assigned to Tenant. <br /> <br />4. Landlord and Tenant have executed and delivered this Memorandum for the <br />purpose of memorializing, of record, their mutual understandings regarding the Lease. All of the <br />terms, covenants and conditions regarding the foregoing are more particularly set forth in the <br />Lease. In the event of conflict between the terms and conditions set forth in this Memorandum <br />and the terms and conditions set forth in the Lease, the terms and conditions of the Lease shall <br />govern and control. <br /> <br />5. The purpose of this Memorandum is to give record notice of the Lease and ofthe <br />rights created thereby, all of which are hereby confirmed and incorporated herein by reference. <br /> <br />6.
