This instrument is recorded to perfect a security interest which is a construction security interest.) <br /> <br />LEASE-PURCHASE AGREEMENT <br /> <br />THIS LEASE-PURCHASE AGREEMENT (this "Agreement"), made and entered <br />into as of the JiJ... day of July, 2005, by and between GRAND ISLAND FACILITIES <br />CORPORATION, a nonprofit corporation duly organized and existing under the laws of the State <br />of Nebraska (the "Lessor"), and the CITY OF GRAND ISLAND, NEBRASKA (the "Lessee" or <br />the "City"), <br /> <br />WITNESSETH: That: <br /> <br />Lessee is a city ofthe first class of the State of Nebraska with full, lawful power and <br />authority to enter into this Agreement acting by and through its Mayor and Council (the "Governing <br />Body") pursuant to the authority granted by Section 19-2421, R.R.S. Neb. 1997, as amended; <br /> <br />Lessee is in need of a new library addition and related improvements, fixtures, <br />furniture and equipment to serve its citizens (the "Project"); <br /> <br />Lessor has been organized and exists for the purpose of acquiring and improving <br />real and personal property for lease to the City in connection with its general activities; <br /> <br />Lessor and Lessee have agreed upon the terms of this Agreement to provide such <br />building and facilities and said agreement should be reduced to writing; <br /> <br />The following words and phrases used in this Agreement to have the following <br />meaning, unless the context or use indicates another or different meaning or intent: <br /> <br />"Act" shall mean Section 19-2421, R.R.S. Neb. 1997, as amended. <br /> <br />"Addendum" shall mean that addendum to this Agreement (whether one or <br />more) executed and delivered by the parties setting further terms, including but not <br />limited to the payment amounts and due dates for basic rental payments (the \ <br />"Payments" as defined below in this Agreement) and setting the termination date in . <br />accordance with the terms of this Agreement. <br />
