<br />In consideration of the sum of Ten Dollars ($10.00) and other good and valuable
<br />consideration, the receipt and sufficiency of which is hereby acknowledged, DAKOTA-
<br />TEX OIL COMPANY, a Wyoming Corporation, whose address is 4545 South Monaco
<br />Street, No. 144, Denver, Colorado 80237; LOUIS A. OSWALD, III and CRYSTAL H.
<br />OSWALD, whose address is P. O. Box 36157, Denver, Colorado 80236-6157, each
<br />individually, and each as TRUSTEE OF THE OSWALD FAMILY TRUST DATED APRIL
<br />27, 1998 (as a mineral owner and as a shareholder of 40% of the ownership of HIGH
<br />PLAINS ASSOCIATES, INC.); JONATHAN S. RODERICK, whose address is P. O. Box
<br />7961, Boulder, Colorado 80306-7961, a single man, individually and as shareholder of
<br />40% of the ownership of HIGH PLAINS ASSOCIATES, INC.; LYNNE M. SAALMAN and
<br />MARK E. BAALMAN, wife and husband, whose address is 4650 North Flintwood Road,
<br />Parker, Colorado 80134, as Joint Tenants with the right of Survivorship and as
<br />shareholders of 20% of the ownership of HIGH PLAINS ASSOCIATES, INC.; and HIGH
<br />PLAINS ASSOCIATES, INC., a Colorado Corporation, whose address is 4650 North
<br />Flintwood Road, Parker, Colorado 80134 (collectively, "GRANTORS"), do by these
<br />presents quitclaim, grant, bargain, sell and convey to OSPREY RESOURSES, INC., a
<br />Texas Corporation, whose address is P.O. Box 56449, Houston, Texas 77256-6449
<br />("GRANTEE") any and all right, title and interest that Grantors have in and to the lands as
<br />more particularly described on Exhibit "A" attached hereto and made a part hereof for all
<br />purposes.

<br />WHEREAS, by Mineral Quitclaim Deed dated September 9, 2002, but effective May 26,
<br />1998, Bellaire Oil Company quitclaimed, granted, bargained, sold and conveyed all of its
<br />interests in and to the subject lands, as more particularly described on Exhibit "A"
<br />attached hereto and made a part hereof for all purposes, and as described in said Mineral
<br />Quitclaim Deed to Dakota-Tex Oil Company; Louis A. Oswald, III, Trustee of the Oswald
<br />Family Trust dated April 27, 1998; Jonathan S. Roderick, a single man; Lynne M.
<br />Saalman & Mark E. Saalman, wife and husband as Joint Tenants with right of
<br />Survivorship, said deeds being recorded in their respective counties. In said Mineral
<br />Quitclaim Deed, reference was made to the fact that this "Mineral Quitclaim Deed is in
<br />lieu of and supersedes any previously executed Mineral Quitclaim Deed by and between
<br />Sellaire Oil Company and High Plains Associates, Inc.". The previously executed Mineral
<br />Quitclaim Deed to High Plains Associates, Inc. was lost and never recovered or recorded.
