200309779 <br />17. Quo rum. "Quorum" shall mean the percentage of the total voting power <br />that is required to hold a meeting. Unless otherwise limited by statute, this shall be at <br />least fifty -one percent (51 %) of those eligible to vote. <br />ARTICLE III, ORGANIZATION OF ASSOCIATION, shall be amended by deleting <br />therefrom Section 3, captioned "Board of Directors /Annual Assessments," and shall have <br />substituted in its place, the following new Section 3, as follows: <br />ARTICLE III <br />ORGANIZATION of ASSOCIATION <br />3. Board of Directors / Annual Assessment. <br />A board of directors consisting of not fewer than three (3) members shall be <br />established per Article IV. Section (b) of the Bylaws. The Board of Directors shall control <br />by majority vote, the management and operation of the Association. The Board, in it's <br />sole and absolute discretion, may fix the amount of the annual assessment and calculate <br />the monthly homeowners dues for each lot. The assessments levied by the Association <br />shall be used exclusively to promote the recreation, health, safety and welfare of the <br />residents, to maintain Outlet A (Francis Drive), to maintain sewer and water lines, and to <br />enforce the covenants, to preserve the appearance of the development for the benefit of all <br />the residents of the community. The assessments levied by the Association shall be used <br />for, but not limited to, accounting, legal, insurance, lawn maintenance and care, landscape <br />maintenance of common areas, garbage and refuse pickup, street maintenance, including <br />snow removal, and costs for street lights and utility charges. <br />On June 12, 1998, a "First Amendment to Francis Courtyard Subdivision Restrictive <br />Covenants and Conditions" was purportedly made by Robert W. Gesienhagen and Fred H. <br />Bosselman; however, it does not appear that said "First Amendment" was ever filed of record. <br />Attached hereto, for purposes of filing, is a copy of said "First Amendment," which shall, for all <br />future purposes, be deemed a proper amendment to the Francis Court Subdivision Restrictive <br />Covenants and Conditions. <br />2. <br />
