2005084'78 <br />NOW, THEREFORE, in consideration of the premises and to induce Five Points <br />to accept said Line of Credit Promissory Note and Deed of Trust, First State Bank of <br />Shelton, hereby covenants and agrees with Five Points that said Deed of Trust held by <br />First State be and shall continued to be subject and subordinate to the lien of the Deed of <br />Trust and Line of Credit Promissory Note for Eight Hundred Thousand Dollars <br />($800,000.00) to be delivered to Five Points, and to all advances heretofore made or <br />which hereafter may be made thereon (including but not limited to all sums advanced for <br />the purpose of any other dispersements and charges in connection therewith) to the extent <br />of the last mentioned amount and interest, and all such advances may be made without <br />notice to First State Bank of Shelton and to any extension, renewals and modifications <br />thereof. <br />This Agreement shall bind and inure to the benefit of the parties hereto, their <br />respective successors and assigns.
