SUBORDINATION AGREEMENT 200508478 <br />THIS AGREEMENT is made the 1� day of August, 2005, between First. State <br />Bank of Shelton, Nebraska, hereinafter referred to as "First State ", and Five Points Bank <br />of Grand Island, Nebraska, hereinafter referred to as "Five Points ". <br />WITNESSTH: <br />WHEREAS, First State now owns and holds a Deed of Trust and Promissory <br />Note secured thereby dated October 13, 2004, and recorded as Document No. <br />0200410113 in the office of the Hall County Register of Deeds covering premise: <br />hereinafter mentioned or a part thereof, and <br />WHEREAS, Heritage Disposal & Storage, L.L.C., a Nebraska Limited Liability <br />Company, the present owner of the premises hereinafter mentioned is about to execute <br />and deliver to Five Points a Line of Credit Promissory Note in an amount up to Eight <br />Hundred Thousand Dollars ($800,000.00) as well as a Deed of Trust to secure the <br />principal sum of said Line of Credit Promissory Note covering the following described <br />premises: <br />A tract of land comprising a part of the Northwest Quarter (NW 1/4) of Section <br />Twenty -Four (24), Township Eleven (11) North, Range Eleven (11) West of the <br />6"' 1?.M., Hall County, Nebraska, and more particularly described as follows: <br />First to ascertain the point of beginning; start at the northeast corner of said <br />Northwest Quarter (NW 1 /4); thence running westerly, along and upon the north <br />line of the Northwest Quarter (NW 1/4), and also being along and upon a north <br />line of a survey by Lee D. Wagner, Registered Land Surveyor No. 557, dated <br />February 22, 2001, said survey referred to as Tract No. 46, a distance of Six <br />Hundred Thirty -Four and Nine Hundredths (634.09) feet to the northwest corner <br />of said Tract No. 46; thence deflecting left 90° 19'05 " and running southerly, <br />along and upon the west line of said Tract No. 46, a distance of One Thousand <br />Five H,indred Severt,­Fi,,e ::and Se,ren Hundredt "c '!,575.07, feet to the <br />ACTUAL point of beginning; thence continuing southerly, along and upon the <br />previously described course, a distance of Four Hundred (400.0) feet to the <br />southwest corner of said Tract No. 46; thence deflecting left 90 °06'35" and <br />running easterly, along and upon the south line of said Tract No. 46; a distance of <br />Four Hundred (400.0) feet; thence deflecting left 89 °53'25" and running <br />northerly, parallel with the west line of said Tract No. 46, a distance of Four <br />Hundred (400.0) feet; thence deflecting left 90 °06'35" and running westerly. <br />parallel with the south line of said "Tract No. 46, a distance of Four Hundred <br />(400.0) feet to the ACTUAL point of beginning and containing 3.673 acres, more <br />or less. <br />WIIEREAS, First State has agreed to subordinate its first Deed of Trust above <br />referenced to the position of Five Points in the manner hereinafter mentioned. <br />
