WITNESSETH:
<br />WHEREAS, Snow is the owner of the following described property situated in Hall County,
<br />Nebraska, to wit:
<br />The North Half of the Northeast Quarter (N1 /2NE1 /4) of Section
<br />Twenty -five (25), Township Eleven (11) North, Range Nine (9) West
<br />of the 6th P.M., Hall County, Nebraska, less a tract of land more
<br />particularly described as follows:
<br />Beginning at a point on the north line of said North One Half of the
<br />Northeast Quarter (N1 /2NE1 /4), said point being Nine Hundred Fifty -
<br />nine and Forty -three Hundredths (959.43) feet west of the northeast
<br />corner of said North One Half of the Northeast Quarter (N 1 /2NE 1 /4);
<br />thence S 90 100'00" W (assumed bearing) along and upon the north
<br />line of said North One Half of the Northeast Quarter (N1 /2NE1 /4), a
<br />distance of Three Hundred Sixty (360.0) feet; thence S 01100'00" E
<br />a distance of One Thousand Two Hundred Thirty (1,230.0) feet;
<br />thence N 90 °00'00" E, parallel with the north line of said North One
<br />Half of the Northeast Quarter (N1 /2NE1/4), a distance of Three
<br />Hundred Sixty (360.0) feet; thence N 01'00'00" W, a distance of One
<br />Thousand Two Hundred Thirty (1,230.0) feet to the point of
<br />beginning and containing 10.164 acres, more or less, of which 0.273
<br />acres, more or less, is occupied by public road right of way,
<br />The 10.164 acre tract of land was previously sold by Snow to Brennan pursuant to a certain
<br />"Contract for Sale of Real Estate" ( "contract ") of even date herewith; and
<br />WHEREAS, as additional consideration for the contract, Snow and Brennan have agreed that
<br />Brennan shall have a right of first refusal to purchase the real estate above described; and
<br />WHEREAS, the parties desire to reduce their understanding to writing, intending to be bound
<br />thereby.

<br />RIGHT OF FIRST REFUSAL AGREEMENT
<br />This Right of First Refusal Agreement ( "Agreement ") is entered into this 6th day of January,
<br />2005,
<br />by and between Marcus J. Snow and Pamela H. Snow, husband and wife, hereinafter referred
<br />to as
<br />"Snow ", and Matthew J. Brennan and Teffani A. Brennan, husband and wife, hereinafter
<br />referred to as "Brennan ".
<br />WITNESSETH:
