Pursuant to the Sales Contract, Sponsor conveyed the Land to Host and the Parties executed the Agreement on ,TV o , 2002. g. Sponsor and Host entered into the Agreement to facilitate the continued operation of the Farm Show by Sponsor. Under the terms of the Agreement Host agreed not to sell the Land to any buyers unwilling to accept assignment of the Agreement while the Agreement is in force, and all subsequent owners of the Land, or any portion of the Land, shall be bound by the terms and conditions of the Agreement. h. The Parties agree to this Short Form Notice which is to be recorded in order that third parties may have notice of the existence of the Agreement and the rights of the Parties under the Agreement. AGREEMENTS: NOW, THEREFORE, in consideration of the foregoing premises and the respective representations, warranties, agreements, covenants mud conditions herein contained, the execution and delivery of the Agreement by the Parties, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby state and agree as follows: 1. The Parties have executed and delivered the Agreement. Copies of the Agreement are being held by both Parties at their respective addresses. 2. All of the terms, conditions, provisions and covenants of the Agreement are incorporated in this Short Form Notice by reference as though written out at length herein and the Agreement and this Short Form Notice shall be deemed to constitute a single instrument or document. The rights and obligations of the Parties shall be construed solely by reference to the provisions of the Agreement and in the event of any conflict between the provisions of the Agreement and those of this Short Form Notice, the provisions of the Agreement shall control. 3.
