200305579 THE GRANTOR ADDITIONALLY COVENANTS AND AGREES WITH THE TRUSTEE AND THE BENEFICIARY AS FOLLOWS: ARTICLE 1 DEFINITIONS AND INTERPRETATION Section 1.01. Definitions. (a) Capitalized terms used, but not defined herein, are defined in, or by reference to, the Credit Agreement and have the same meanings herein as therein. In addition, in this Deed of Trust the following terms shall have the following meanings: "Administrative Agent" is defined in Recital A. "Agreements" is defined in Granting Clause V. "Alteration" means the construction of any new Improvement on the Property or the alteration of, addition to or improvement of the Property, and "Alter" means to construct any new Improvement on the Property or to alter, add to or improve the Property, in each case including the demolition of any Improvement. "Awards" means, at any time, all awards or payments paid or payable by reason of any Condemnation, including all amounts paid or payable with respect to any transfer in lieu or anticipation of Condemnation or any agreement with any condemning authority which has been made in settlement of any proceeding or threatened proceeding relating to a Condemnation. "Bankruptcy Code" means the Bankruptcy Code of 1978, as amended. "Banks" is defined in Recital A. "Beneficiary" is defined in the Preamble. "Borrower" is defined in Recital A. "Casualty" means any damage to, or destruction of, the Property. "Condemnation" means any condemnation or other taking or temporary or permanent requisition of the Property, any interest therein or right appurtenant thereto, or any change of grade affecting the Property, as the result of the exercise of any right of condemnation or eminent domain. A transfer in lieu or anticipation of Condemnation shall be deemed to be a Condemnation. "Contracts for Sale" is defined in Granting Clause XI. "Credit Agreement" is defined in Recital A.
