<br />12.6 Construction Change Directives: In the event the Contract Documents provide for Construction Change
<br />Directives or similar mechanisms for changes in the Work, Trade Contractor shall comply with all
<br />requirements of the Contract Documents with respect thereto.
<br />SECTION 13
<br />Mechanic's Liens or Claims
<br />13.1 Trade Contractor's Duty to Discharge Liens or Claims: If any subcontractor, laborer, materialman or
<br />supplier of the Trade Contractor or any other person directly or indirectly acting for, through or under it or
<br />any of them files or maintains a lien or claim, whether a mechanics' lien, stop notice or an attested account
<br />or otherwise, against the Project or premises of the Project or any part thereof or any interests therein or
<br />any improvements thereon or against any monies due or to become due from the Owner to SIGNATURE
<br />or from Owner to Trade Contractor, for or on account of any work, labor, services, materials, supplies,
<br />equipment or other items performed or furnished for or in connection with the Work or under any Change
<br />Order or supplemental written agreement for extra or additional work -in connection with the Project, the
<br />Trade Contractor shall cause such liens and claims to be satisfied, removed or discharged at its own
<br />expense by bond, payment or otherwise within ten (10) days from the date of the filing of such liens or
<br />claims, and upon its failure to do so SIGNATURE shall have the right, in addition to all other rights and
<br />remedies provided under this Trade Contract and the Contract Documents, or by law, to cause such liens or
<br />claims to be satisfied, removed or discharged by whatever means the Owner or SIGNATURE chooses, at
<br />the entire cost and expense of the Trade Contractor (such cost and expense to include legal fees and
<br />disbursements). The Trade Contractor shall defend, indemnify, protect and hold harmless SIGNATURE
<br />and the Owner from and against any and all such liens and claims and actions brought or judgments
<br />rendered thereon, and from and against any and all loss, damages, liability, costs and expenses, including
<br />reasonable attorneys' fees and disbursements, which SIGNATURE and/or the Owner may sustain or incur
<br />in connection therewith.
<br />SECTION 14
<br />Compliance with Law and Permits
<br />14.1 Trade Contractor shall comply with all Federal, State, Municipal and local laws, ordinances, codes, rules,
<br />regulations, standards, orders, notices and requirements, including, but not limited to, those relating to
<br />safety, discrimination in employment, fair employment practices or equal employment opportunity without
<br />additional charge or expense to SIGNATURE and, at its own cost and expense, shall correct any violations
<br />thereof resulting from or in connection with the performance of its Work. At any time, upon demand,
<br />Trade Contractor shall furnish such proof as SIGNATURE may require showing such compliance and the
<br />correction of such violations. The Trade Contractor shall defend, hold harmless and indemnify
<br />SIGNATURE from and against any and all loss, injury, claims, actions, proceedings, liability, damages,
<br />fines, penalties, costs and expenses, including legal fees and disbursements, caused or occasioned directly
<br />or indirectly by the Trade Contractor's failure to comply with any of said laws, ordinances, rules,
<br />regulations, standards, orders, notices or requirements or to correct such violations.
<br />SECTION 15
<br />Labor Relations
<br />15.1 Control Over Employees: Trade Contractor shall maintain control over all its employees, subcontractors,
<br />suppliers and others for whom Trade Contractor is responsible and shall remove or cause to be removed
<br />from the Project any person or entity for whom Trade Contractor is responsible who is determined by the
<br />Owner, the Architect or SIGNATURE to be detrimental to the Project. To the fullest extent permitted by
<br />law, Trade Contractor shall do whatever is reasonably necessary to assure harmonious labor relations and
<br />shall not employ any person who wrongfully causes, or who is likely to wrongfully cause, strikes, work
<br />stoppages or other actions detrimental to the Project.
<br />15.2
<br />Strike: In the event of a strike, picketing or other actions resulting from Trade Contractor's Work, after
<br />forty-eight (48) hours notice to Trade Contractor, SIGNATURE may take any lawful steps necessary to
<br />complete Trade Contractor's Work. Trade Contractor shall take all lawful necessary action to terminate
<br />any strike or picketing. If SIGNATURE establishes a gate reserved for use by Trade Contractor (and any
<br />other Trade Contractor with whom a labor dispute exists), Trade Contractor will use such gate and continue
<br />its Work without interruption or delay.
