SECTION 9 Schedule and Coordination 9.1 Time of the Essence: SIGNATURE and/or the Owner may sustain severe financial loss if the Project or any part of it is delayed because Trade Contractor fails to perform any or all of its Work in accordance with this Trade Contract, the Contract Documents or the Project Schedule and changed as prepared by the onsite superintendent or project manager. 9.2 Commencement of Trade Contractor's Work: Trade Contractor shall commence its Work when directed by SIGNATURE to do so and shall diligently and continuously perform and complete its Work so that neither SIGNATURE nor any other person or entity will be delayed in completing its work on the Project by any act or omission of Trade Contractor. If, for any reason, Trade Contractor's Work is ordered stopped, Trade Contractor shall resume its Work within the time stated in a written notice from SIGNATURE. 9.3 Coordination: Trade Contractor shall coordinate its operations with all other contractors, subcontractors and trades working on the Project. Should the proper and accurate performance of the Trade Contractor's Work depend upon the proper and accurate performance of the work of other contractors, Trade Contractor shall carefully examine such other work, determine whether it is in fit, ready and suitable condition for the proper and accurate performance of the Work hereunder, and before proceeding with its Work, report promptly, in writing, any such improper conditions and defects to SIGNATURE and allow SIGNATURE a reasonable time to have such improper conditions and defects remedied. Failure by Trade Contractor to report any such defective or uncompleted work by others shall constitute a waiver and estoppel of any claim by Trade Contractor for any damage or for any claim for an extension of time arising out of such defective or uncompleted work. Further, Trade Contractor shall be liable to SIGNATURE for any damage caused SIGNATURE by Trade Contractor's failure to report any such defective or uncompleted work by others. 9.4 Shop Drawings and Other Submissions Required by the Contract Documents: Trade Contractor shall submit all shop drawings, samples and other required submittals in strict accordance with this Trade Contract, the Contract Documents and SIGNATURE's schedule requirements so that Trade Contractor does not delay its own Work, the work of SIGNATURE or any other person or entity. 9.5 Trade Contractor's Conformance to Project Schedule: Trade Contractor shall continuously monitor the Project Schedule so as to be fully familiar with the timing, phasing and sequence of operations of its Work and of other work on the Project, and shall execute the Work in accordance with the requirements of the Project Schedule, including any revisions thereto and shall meet all interim or final milestone dates included in the Project Schedule. Trade Contractor's Superintendent or other authorized representative shall be required to attend a weekly on site Trade Contractor's Scheduling Meeting. This meeting shall be held at the job trailer each Monday at 8 AM. Signature shall have the right to backcharge (as described in section 5.6) Trade Contractor $500 for each meeting their representative fails to attend without prior written consent of Signature's Project Superintendent. 9.6 Priority of Work: Throughout the course of the Project, SIGNATURE shall have the right to modify the Project Schedule, to suspend, delay, or accelerate, in whole or in part, the commencement or execution of Trade Contractor's Work or any portion thereof or to vary the sequence thereof, to reasonably decide the time, order and priority of the various portions of Trade Contractor's Work, and all other matters relating to the scheduling and coordination of Trade Contractor's Work with other work on the Project in order to respond to job conditions and/or achieve timely completion of the entire Project. Trade Contractor shall not be entitled to any additional compensation for decisions or changes made by SIGNATURE pursuant to this Section 9.6 except as provided in Section 9.8. 9.7 Punch Out: Trade Contractor shall be responsible for a minimum of two building punch lists the first shall be prepared by the on -site superintendent prior to the Owner's inspection. The second shall be prepared by the Owner or their agent and be based on their building inspection. In both instances Trade Contractor shall have four (4) days from the date of the punch list to complete their work. If Trade Contractor fails to comply with this schedule SIGNATURE may contract with others without notice to complete for the costs thereof, plus ten percent (10 %) for overhead and ten percent (10 %) for profit. SIGNATURE shall also have the right to complete the work on behalf of the Trade Contractor with SIGNATURE employees and backcharge Trade Contractor $75.00 per man-hour for each hour spent completing the work.
