Such undertaking is expressly declared to be for the benefit of the registered owners of the Building and Equipment Bonds (including beneficial owners as referred to in the Indenture) and such covenants may be enforced by the registered owner of any of the Building and Equipment Bonds or by any beneficial owner of the Building and Equipment Bonds, provided that any right to enforcement shall be limited to specific enforcement of such covenants and any failure shall not constitute an event of default under this Contract for Purchase or the Indenture. The Purchaser hereby designates the College Area President of the Purchaser as the contact person from whom the foregoing information, data and notices can be obtained. ARTICLE VI IMPOSITIONS Purchaser shall pay all taxes and assessments on or with respect to the Building or the Project of any sort whatsoever which become due or payable or are assessed during the term of this Contract for Purchase, including all water and sewer charges, assessments and other governmental charges and impositions whatsoever, foreseen and unforeseen, against the Building or the Project (all of which are herein called "impositions "). Vendor shall promptly forward to Purchaser any notice, bill or other advice received by Vendor concerning any impositions. ARTICLE VII REPAIRS, MAINTENANCE AND ALTERATIONS Section 7.1. Purchaser shall keep the Project and all parts thereof in good serviceable condition and repair during the term of this Contract for Purchase. Section 7.2. Purchaser shall have the right, at its own expense, to make additions, alterations and changes in or to the Project. All alterations, additions and improvements to the Project shall be deemed a part of the Project subject to this Contract for Purchase, and, upon final payment of all basic payments under this Contract for Purchase, shall become the property of Purchaser pursuant to the provisions of Article XVIII of this Contract for Purchase. Section 7.3. It is the intention of the parties that Vendor shall have no obligation for any cost in connection with the Project beyond the monies in the Construction and Acquisition Fund as described in Article IV hereof and that basic payments shall be net to the Vendor and this Contract for Purchase shall be construed accordingly. Section 7.4. PURCHASER HEREBY EXPRESSLY AGREES THAT VENDOR AND THE TRUSTEE HAVE MADE NO WARRANTIES WITH RESPECT TO THE PROJECT OR AS TO ITS SUITABILITY OR USEFULNESS FOR PURCHASER'S PURPOSES AND PURCHASER HEREBY EXPRESSLY AGREES THAT NEITHER THE VENDOR NOR THE TRUSTEE SHALL BE LIABLE TO IT FOR ANY DEFECT IN THE PROJECT. Vendor hereby agrees that Purchaser shall be entitled to all warranties, express and implied, made by any other person with respect to the Project and that Purchaser shall have full power to pursue any remedies which Vendor may have against any vendor, supplier or other person 8
