<br />LICENSE AGREEMENT
<br />This License Agreement is made by and between the CITY OF GRAND ISLAND,
<br />NEBRASKA, a Municipal Corporation, herein referred to as the "City" and UNION PACIFIC
<br />RAILROAD COMPANY, a corporation, hereinafter referred to as the "UPRR."
<br />I. STATEMENT OF PURPOSE, The purpose of this License Agreement is to
<br />authorize and allow The Forrester Group (on behalf of Union Pacific Railroad Company) the use
<br />of the City's right -of -way at 1219'/2 North Front Street in Grand Island, Nebraska, for the
<br />installation, construction and maintenance of four (4) air sparging and one (1) soil venting well
<br />and piping trenches to comply with the Final Remediation Action Design dated November 20,
<br />2003 approved by the Environmental Protection Agency in accordance with EPA Docket No.
<br />8:02 -CV -368 at the former Nebraska Solvent Site, OU -5.
<br />2. DESCRIPTION OF UPRR'S REAL ESTATE. UPRR owns the following
<br />described real estate adjacent to the City's right -of -way to which this License Agreement shall
<br />apply:
<br />The Southwest Quarter (SW1 /4) of Section Sixteen (16), Township Eleven (11)
<br />North, Range Nine (9) West of the 6" P.M. in Hall County, Nebraska; more
<br />commonly referred to as 1219 1/2 North Front Street in Grand Island, Nebraska.
<br />3, UPRR'S DUTIES AND RISKS. It is understood and agreed that The Forrester
<br />Group, on behalf of UPRR, may construct, maintain, repair and utilize the above described right-
<br />of-way at its sole risk. UPRR hereby waives any claims for damages against the City, its officers,
<br />employees, agents and independent contractors for any darrrage or injury that may result to said
<br />improvement. If the City, in its sole discretion, determines that any part or all of the
<br />improvement must be removed or is damaged by UPRR or The Forrester Group, its employees,
<br />agents or independent contractors working for UPRR or The Forrester Group during the course
