200403219 <br />additions, installations, changes and improvements, in or to the Premises be required during the <br />term hereof; by any governmental authority cr under or by virtue of any law, ordinance or <br />regulation, the same shall be made by and at the cost of Lessee. <br />14. Assignment and Subletting. Except as provided below, Lessee shall not sublet <br />or assign all or any portion of the Premises without prior written consent of Lessor, which <br />consent will not be unreasonably withheld. Notwithstanding anything herein to the contrary, <br />Lessor hereby consents to any transfer of the stock of Lessee to or a statutory merger of Lessee <br />into Sala Motor Freight Line, Inc. ( "Saia ") or any Affiliate of Sala. "Affiliate" for purposes of <br />this Lease shall have the meaning set forth in the Securities Exchange Act of 1934. <br />15. Bankruptcy. If Lessee shall be declared insolvent or bankrupt, or if any <br />assignment of the Lessee's property shall be made for the benefit of creditors or otherwise, or if <br />the Lessee's leasehold interest herein shall be levied upon under execution, or seized by virtue of <br />any writ of any court of law, or a Trustee in Bankruptcy or a Receiver be appointed for the <br />property of the Lessee, whether under the operation of State or its Federal statutes, then and in <br />any such case, Lessor may, at their option, immediately with or without notice, said notice being <br />expressly waived, terminate this Lease and immediately retake possession of said Premises <br />without the same working any forfeiture of the obligations of the Lessee hereunder. <br />16. Default by Lessee. Lessor shall give Lessee written notice of any default by <br />Lessee in the payment of rent or the performance of any other obligation to be kept or performed <br />by Lessee and if such default continues for a period of ten (10) days with respect to any default <br />in the payment of money or a period of thirty (30) days with respect to any other default after <br />receipt by Lessee of a written notice from Lessor specifying such default, Lessor may thereafter <br />without further notice or demand, enter onto the Premises and take full and absolute possession <br />thereof, without such re -entry causing a forfeiture of the rent to be paid or the covenants to be <br />performed by Lessee hereunder for the full term of this Lease and may thereafter lease or <br />sublease the Premises for such rent as Lessor may reasonably obtain, crediting Lessee with the <br />rent so obtained after deducting the costs Lessor reasonably incur by such re -entry, leasing or <br />subleasing, or the Lessor, at its election, may terminate this Lease and re -enter and take full and <br />absolute possession of the demised Premises free from any further right or claim by Lessee. <br />17. Condition of Premises Upon Surrender. At the expiration of the Lease, Lessee <br />will quit and surrender the Premises in as good state and condition as when received, reasonable <br />wear and tear excepted. In the event Lessee alters, remodels, and/or improves said Premises in <br />accordance with its rights hereinbefore granted, it shall not, at the expiration of said term or <br />expiration of any renewal term be required to restore the same to the condition said Premises <br />were in when Lessee took possession, but Lessee may surrender the same in their altered, <br />remodeled, and/or improved condition without any further liability provided that the use and <br />nature of the Premises has not been diminished. <br />18. Holding Over the Premises. In the event Lessee continues to occupy the <br />Premises after the expiration of the term thereof, then such occupancy shall create a tenancy at <br />will only, and shall in no event be deemed a renewal of this Lease, and either party may <br />terminate said tenancy at will upon notice to the other party in accordance with the laws of the <br />State of Nebraska.
