202604087 WHEREAS THE ROFR WAS INTENDED TO RESTRICT ALIENATION without proper notice as set forth in the ROFR of certain parcels of real property described in the ROFR and commonly known to the parties thereto as "Grandpa's Place," referred to therein as "Parcel A" and legally described in Exhibit "A" attached to the ROFR; and WHEREAS CERTAIN TRANSACTIONS PURPORTEDLY TRANSFERED Grandpa's Place to RSKS, LLC, which legal entity was not a party to the RFOR, and of which entity there are members who were not parties to the ROFR; and WHEREAS THE PARTIES OF THE FIRST PART desire to provide to the Party of the Second Part all rights, privileges and benefits of the ROFR, specifically including but not limited to the protections against any sale, transfer, gift, or other form or manner of conveyance of the real property known as Grandpa's Place, or any part thereof or interest therein, as described and set forth in the ROFR as "Parcel A," and more particularly described in Exhibit "A" thereto, without notice to said Party of the Second Part in the form and manner set forth in the ROFR and this Agreement; and WHEREAS THE SALE, TRANSFER, GIFT OR OTHER CONVEYANCE of Grandpa's Place to RSKS, LLC, which is not a member of "Janel's Immediate Family" as described in the ROFR, and which is an entity not a party to the ROFR, resulted in the filing of a legal action in Hall County, Nebraska District Court at Case No. CI24-562 for a determination of the rights, interests, liabilities and responsibilities of the parties under the terms of the ROFR; and WHEREAS THE PARTIES TO THE HALL COUNTY DISTRICT COURT LEGAL ACTION desire to conclude the dispute giving rise to such action through entering into this Addendum to the Right of First Refusal Agreement. NOW, THEREFORE, IN CONSIDERATION of this agreement, the termination of the legal action in Hall County, Nebraska District Court as Case No. CI24-562, and other good and valuable consideration, the Parties of the First Part and the Party of the Second Part agree as follows: 1. That the Parties of the First Part and Party of the Second Part agree that all agreements, terms and conditions of the ROFR as are contained in Attachment A attached hereto are incorporated into this Agreement and made part of this Agreement, as if fully set forth herein, modified only by the terms of this Addendum to the ROFR. 2. Parties of the First Part agree to be bound by and to comply with the duties and terms of the ROFR and this agreement, and that the said duties and obligations shall apply and extend to the Party of the Second Part, Blaine (Casey) Packer through the duration of the life of Blaine (Casey) Packer.
