202500472 <br />ARTICLE V. POWERS AND DUTIES OF THE BOARD OF DIRECTORS <br />Section 1. Powers. <br />The Board of Directors shall have the powers necessary for the administration of the affairs of the <br />Association, and may do all such acts and things except as by law, the Articles of Incorporation, or by <br />these Bylaws may not be delegated to the Board of Directors by the Members. Such powers and duties <br />of the Board of Directors shall include but shall not be limited to the following: <br />(a) Operation, care, upkeep, maintenance, and protection of common areas, <br />(b) Determination of the common expenses required for the affairs of the Association, <br />including without limitation, the operation, maintenance, protection and regulation of lakes, signage, <br />common areas and lighting systems; <br />(c) Collection of the assessments as provided in the Declaration; <br />(d) Employment and dismissal of the personnel necessary for proper exercise of the Powers <br />and Duties herein; <br />(e) Adoption and amendment of rules and regulations as necessary; <br />(f) Opening of bank accounts on behalf of the Association and designing the signatories <br />required therefore; <br />(g) Making of repairs, additions and improvements to, alterations of, replacement of, or <br />restoration of any Association property; <br />
