202500472 ARTICLE V. POWERS AND DUTIES OF THE BOARD OF DIRECTORS Section 1. Powers. The Board of Directors shall have the powers necessary for the administration of the affairs of the Association, and may do all such acts and things except as by law, the Articles of Incorporation, or by these Bylaws may not be delegated to the Board of Directors by the Members. Such powers and duties of the Board of Directors shall include but shall not be limited to the following: (a) Operation, care, upkeep, maintenance, and protection of common areas, (b) Determination of the common expenses required for the affairs of the Association, including without limitation, the operation, maintenance, protection and regulation of lakes, signage, common areas and lighting systems; (c) Collection of the assessments as provided in the Declaration; (d) Employment and dismissal of the personnel necessary for proper exercise of the Powers and Duties herein; (e) Adoption and amendment of rules and regulations as necessary; (f) Opening of bank accounts on behalf of the Association and designing the signatories required therefore; (g) Making of repairs, additions and improvements to, alterations of, replacement of, or restoration of any Association property;
