202500472 <br />(i) Resignations <br />Any director of the Association may resign at any time by giving written notice to the President or <br />to the Secretary of the Association. Such resignation shall take effect when accepted by the Board of <br />Directors. <br />(j) Removal of Directors <br />Any director may be removed with or without cause at any time, by a majority vote of the <br />remaining Directors, either in person or by proxy, at a special meeting called expressly for that purpose. <br />(k) Vacancies <br />Any vacancy in the Board of Directors caused by death, resignation, removal, disqualification or <br />any other cause, shall be filled by the majority vote of the remaining Board of Directors then in office and <br />each director so elected shall hold office for a term to expire at the same time as the term of the director <br />whose vacancy he or she was chosen to fill, or until his or her death, resignation or removal. <br />(I) Informal Action by Directors <br />Any action required to be taken at a meeting of Directors, or any other action which may be taken <br />at a meeting of Directors, may be taken without a meeting if a consent, in writing, setting forth the action <br />so taken, shall be signed by all Directors. <br />(m) Liability of Directors <br />The Board of Directors shall not be liable to the owners for any mistake of judgment, negligence, <br />or otherwise, except for their own individual willful misconduct or bad faith. The members of the Board <br />of Directors shall have no personal liability with respect to any contract made by them on behalf of the <br />Association. <br />
