202500366 <br />ARTICLE 4. MEMBERSHIP, VOTING RIGHTS AND ALLOCATIONS <br />1) Membership. Every owner of any Unit shall be a Member of the Association, <br />excluding Persons who hold only a Security Interest. Membership shall be appurtenant to <br />and may not be separated from ownership of any Unit. Ownership of such Unit shall be the <br />sole qualification for membership. When more than one (1) Person holds an ownership <br />interest in any Unit, all such Persons shall be Members; however, the vote for such Unit <br />shall be exercised as they among themselves determine but in no event shall more than one <br />(1) vote be cast with respect to any Unit. <br />2) Allocated Interests. Each Unit Owner shall be entitled to one (1) vote for each Unit <br />owned with respect to all matters before the Association. In the event Unit 102 is divided <br />into one or more additional Units, each such additional Unit shall also be entitled to one <br />(1) vote. ASSOCIATION AND BOARD OF DIRECTORS <br />1) Authority and Power. The business and affairs of the Condominium shall be <br />managed by the Board of Directors. The administration of the Condominium shall be <br />governed by the Documents and the Act. The Board of Directors shall have all of the <br />powers, authority and duties permitted pursuant to the Documents and the Act which are <br />necessary and proper to manage the business and affairs of the Condominium. <br />2) Membership. The Board of Directors shall consist of Members, or their <br />representatives, as elected in accordance with the Association's Bylaws and the other <br />Documents. There shall be a minimum of three (3) Directors. <br />3) Professional Management. The Association may utilize professional management <br />in performing its duties hereunder. <br />4) Board of Directors Standard of Care. The Board of Directors officers and members <br />shall exercise ordinary and reasonable care in the performance of their duties. <br />ARTICLE 6. COMMON ELEMENTS <br />1) Dedication of Common Elements. Declarant hereby dedicates the Common <br />Elements to the common use and enjoyment of the Members, as herein provided. <br />5 <br />
