200011180 <br />SECTION 10.2 CHANGES OF OWNERSHIP. In the event ownership of <br />the Premises becomes vested in a person, persons or entity other than Borrower, except with the <br />prior written consent of American Family, American Family may continue to deal with <br />Borrower without any obligation to deal with such successor or successors in interest with <br />reference to this Trust Deed, the other Loan Documents and the Indebtedness until notified of <br />such vesting. Upon such notification, American Family may thereafter deal with such successor <br />in place of Borrower without any obligation to thereafter deal with Borrower and without <br />waiving any liability of Borrower under any of the Loan Documents. <br />SECTION10.3 SUCCESSORS AND ASSIGNS. This Trust Deed and each <br />and every covenant, agreement and other provision hereof shall be binding upon Borrower, <br />including the successors and assigns, whether authorized or unauthorized, of Borrower, including <br />without limitation each and every record owner of the Premises or any other person having an <br />interest therein. This Trust Deed and all covenants and agreements of Borrower shall run with <br />the land and shall inure to the benefit of American Family, its successors and assigns. <br />SECTION 10.4 UNENFORCEABILITY OF CERTAIN CLAUSES. The <br />unenforceability or invalidity of any provisions hereof shall not render any other provision or <br />provisions herein contained unenforceable or invalid. <br />SECTION 10.5 NOTICES. Any notice which any party hereto may desire <br />or may be required to give to any other party shall be in writing and the mailing thereof by <br />certified mail to their respective addresses as set forth herein, or such other places as any party <br />may hereafter designate by written notice, shall constitute service of notice hereunder. The date <br />of mailing shall be deemed the effective date of notice. Copies of any notice from American <br />Family to Borrower under ARTICLE 6 of this Mortgage, Events of Default and Remedies, shall <br />be sent to Edward M. Kress, Esq., Chernesky, Heyman & Kress P.L.L., 10 Courthouse Plaza S.W., <br />Suite 1100, Dayton, OH 45402. Trustor hereby requests that a copy of any notice of default and any <br />notice of sale be sent to the Trustor at the address set forth herein. <br />SECTION 10.6 AMENDMENT /MODIFICATION. Any amendments to, <br />waivers of or modifications of any provisions of this Trust Deed or any of the other Loan <br />Documents must be made in writing. No oral waiver, amendment, or modification may be <br />implied. <br />SECTION 10.7 SURVIVAL OF REPRESENTATIONS, WARRANTIES <br />AND COVENANTS. All representations covenants and warranties contained herein or in any <br />other Loan Document, instrument and agreement executed by Borrower in connection herewith <br />shall survive the delivery of the Note, this Trust Deed and all other Loan Documents, <br />instruments and agreements executed in connection herewith and the provisions hereof shall <br />continue to inure to the benefit of American Family, its successors and assigns. <br />45 <br />
