2000111.80 <br />determined, approved, accepted, consented to or elected by <br />American Family, or that American Family "may" undertake any <br />particular course of action; or by indicating that any particular item, <br />decision or course of action shall require the consent of American <br />Family or be acceptable or satisfactory to American Family, or <br />shall be accepted, approved or determined by American Family; or <br />that any choice shall belong to American Family or any issue or <br />choice shall be decided or determined by American Family; or by <br />granting any right, election or option to American Family; and <br />whenever any of the Loan Documents in any other way grants, <br />whether explicitly or implicitly, any other right of decision to <br />American Family; then, unless specifically indicated otherwise, all <br />such decisions, consents or approvals by American Family shall be <br />made, given or withheld at American Family's sole, unrestricted <br />and unconditioned discretion and shall not be binding on American <br />Family unless in writing. <br />WITNESSETH: <br />Kelly & Cohen Appliances, Inc., as Trustor, in consideration of the Loan herein <br />described and the sum of Ten Dollars ($10.00) received by the Borrower from American Family, <br />and other good and valuable consideration, the receipt and adequacy of which is hereby <br />acknowledged, does hereby GRANT, WARRANT, TRANSFER, CONVEY AND ASSIGN unto <br />Trustee, IN TRUST with a power of sale for the benefit of American Family, as Beneficiary, <br />all of its estate, right, title and interest in the following described properties as security for the <br />Loan, under and subject to the terms and conditions of this Trust Deed: <br />GRANTING CLAUSE A. <br />REAL PROPERTY <br />All tracts or parcels of real property lying and being in the County of Hall, State <br />of Nebraska, as more fully described in Exhibit A attached hereto and made a part hereof, <br />together with all estates and rights in and to the real property, water, mineral or oil rights and in <br />and to the lands lying in streets, alleys and roadways or gores of land adjoining the real property <br />and all structures, annexations, access rights, easements, rights of way or use, servitudes, <br />tenements, hereditaments and appurtenances now or hereafter belonging or pertaining to the real <br />property and all proceeds and products derived therefrom whether now owned or hereafter <br />acquired; and <br />12 <br />
