202101060 <br />11. gnlaraement of Association Membershlo: Meraer of Association, This <br />paragraph contemplates the potential interest of the Members of the Association to <br />enlarge its membership, or merge with other homeowner associations. At such time <br />that Lots sixty (60) through seventy-one (71) may be offered for sale and sold as residential <br />lots, Class A shares shall be issued for those lots and the owners shall be members entitled <br />to full voting privileges within the Amick Acres West Homeowners Association. At such time <br />that a majority of the owners within the Amick Acres West Homeowners Association may <br />deem it appropriate, they may direct the Board of Directors to form a special committee to <br />explore the possibility of enlarging the Association to include owners of property within <br />adjacent subdivisions, or a merger of the Association with the Amick Acres East <br />Homeowners Association. The special committee so formed, shall review and reconcile the <br />covenants of the Associations, allocate any annual or special assessments with other <br />associations or homeowners, and negotiate all other conditions for merger of the <br />Associations and their Boards of Directors <br />Under no circumstances, shall the covenants or restrictions affecting the use of the Tots in <br />the Amick Acres West Subdivision be amended in such manner as to be less restrictive <br />than those contained in this agreement. The special committee shall issue a report and <br />recommendation to the Board of Directors and the members of the Association. <br />Notwithstanding the provisions set forth in Article III, paragraph #10, the homeowners may <br />by a vote of less than fifty percent (50%) of the members who are voting in person or by <br />proxy at a meeting duly called for this purpose, agree to adopt a report by the special <br />committee and merge the Amick Acres West Homeowners with other homeowner <br />associations, or enlarge the Association to include new members from adjacent <br />subdivisions. <br />111Page <br />
