20190483, 2. Effective Date of Assignment. The effective date of the Assignment shall be the date of the closing under the Assignees purchase of the Property from the Assignor. 3. "As Is, Where Is" Transaction. Assignees acknowledge and agree that Assignor makes no representations or warranties whatsoever, express or implied, with respect to any matter relating to the Lease. Assignees further acknowledge that they have been provided with the opportunity to conduct an independent inspection and investigation of the physical condition of the Property and all such other matters relating to or affecting the Lease as Assignees deemed necessary or appropriate and that in proceeding with the Assignment, Assignees are doing so based upon such opportunity. Accordingly, Assignees accept Property and the Lease "AS IS" and "WHERE IS". 4. Proration of Rent. Assignees shall be entitled to rent paid or payable under the Lease for periods from and after the Effective Date. 5. Miscellaneous. (a) This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective permitted assignees. Nothing in this Agreement, express or implied, is intended to confer on any person other than the parties hereto or their respective permitted assignees assigns, any rights, remedies, obligations or liabilities under or by reason of this Agreement. (b) This Agreement and the legal relations among the parties hereto shall be governed by and construed in accordance with the laws of the State of Nebraska applicable to contracts made and performed in Nebraska. (c) This Agreement may be executed in two or more counterparts and once so executed by the parties hereto, each such counterpart shall be deemed to be an original, but all such counterparts together shall constitute one agreement. (d) The recitals and all schedules attached hereto are incorporated into this Agreement as if set forth in full herein. [Signatures are on the following pages] 2
