O'Connor, Trustee of the Raymond J. O'Connor VRevocable Living Trust and Jennifer S. O'Connor, Trustee of the Jennifer S. O'Connor (') Revocable Living Trust ("Assignees"). WHEREAS, Assignor is successor -in -interest to Center Land Company, Inc., a California corporation, as landlord, under a Retail Building Lease dated December 8, 1993 (as amended, the "Lease") with Associated Wholesale Grocers, Inc., a Kansas corporation, successor -in -interest to Scrivner, Inc., a Delaware corporation, as tenant, with respect to that property described on Exhibit "A" attached hereto and incorporated herein. WHEREAS, Assignor desires to assign and Assignees desire to assume, subject to the terms and conditions set forth herein, all of Assignor's right, title and interest in and to the Lease. NOW, THEREFORE, in consideration of the recitals above and the covenants and mutual agreements contained herein, the receipt and sufficiency of which are hereby acknowledged, Assignor and Assignee hereby agree as follows: 1. Assignment and Assumption. Pursuant to the terms set forth below and for the consideration otherwise payable by Assignees to Assignor for the Special Warranty Deed to the Property, Assignor hereby assigns to Assignee all of its right, title, and interest in and to the Lease for the remainder of the Lease term (the "Assignment"). Assignees hereby accept the Assignment and assume and agree to timely fulfill and comply with all of the terms, conditions and covenants of the Lease as landlord thereunder.
