O'Connor, Trustee of the Raymond J. O'Connor <br />VRevocable Living Trust and Jennifer S. O'Connor, Trustee of the Jennifer S. O'Connor <br />(') Revocable Living Trust ("Assignees"). <br />WHEREAS, Assignor is successor -in -interest to Center Land Company, Inc., a California <br />corporation, as landlord, under a Retail Building Lease dated December 8, 1993 (as amended, the <br />"Lease") with Associated Wholesale Grocers, Inc., a Kansas corporation, successor -in -interest to <br />Scrivner, Inc., a Delaware corporation, as tenant, with respect to that property described on <br />Exhibit "A" attached hereto and incorporated herein. <br />WHEREAS, Assignor desires to assign and Assignees desire to assume, subject to the <br />terms and conditions set forth herein, all of Assignor's right, title and interest in and to the Lease. <br />NOW, THEREFORE, in consideration of the recitals above and the covenants and <br />mutual agreements contained herein, the receipt and sufficiency of which are hereby <br />acknowledged, Assignor and Assignee hereby agree as follows: <br />1. Assignment and Assumption. Pursuant to the terms set forth below and for the <br />consideration otherwise payable by Assignees to Assignor for the Special Warranty Deed to the <br />Property, Assignor hereby assigns to Assignee all of its right, title, and interest in and to the <br />Lease for the remainder of the Lease term (the "Assignment"). Assignees hereby accept the <br />Assignment and assume and agree to timely fulfill and comply with all of the terms, conditions <br />and covenants of the Lease as landlord thereunder. <br />
