201901172 MEMORANDUM OF GROUND LEASE THIS MEMORANDUM OF GROUND LEASE (hereinafter referred to as this "Memorandum") is made and entered into this 28th day of February, 2019, by and between GI Hospital Real Estate, LLC, a Nebraska limited liability company, and its successors and assigns ("Lessor"), and GI Hospital Building, LLC, a Nebraska limited liability company, and its successors and assigns ("Lessee"). WITNESSETH: WHEREAS, Lessor and Lessee have entered into that certain Ground Lease (hereinafter referred to as the "Lease"), effective April 1, 2018, wherein Lessee has been formed to develop a hospital (the "Hospital") on that certain tract or parcel of land situated in Hall County, Nebraska, as more particularly described on Exhibit A attached hereto and by this reference made a part hereof (hereinafter referred to as the "Premises") and to subsequently enter into an operating lease of and for such hospital with Grand Island Regional Hospital, Inc., a Nebraska corporation (the "Hospital Lease"), upon and in accordance with the terms, conditions and provisions set forth therein, which Lease is expressly incorporated herein by reference and made a part hereof as though fully set forth herein; and WHEREAS, Lessor and Lessee desire to enter into this Memorandum, which is to be recorded in the records of the Recorder's Office of Hall County, Nebraska for purposes of providing notice to any and all third parties as to the existence of the Lease and Lessee's interest in the Premises. NOW, THEREFORE, for and in consideration of the premises, the sum of Ten and No/100 Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency whereof are hereby acknowledged by Lessor and Lessee, Lessor and Lessee hereby make this Memorandum and covenant and agree as follows: 1. All members of the general public are hereby placed on notice of inquiry as to the specific provisions, terms, covenants and conditions of the Lease, all of which are incorporated herein by reference with the same force and effect as if herein set forth in full. This Memorandum shall be recorded in the Recorder's Office of Hall County, Nebraska, in lieu of recording the entire Lease, which Lease contains, without limitation, the following terms, conditions and provisions:
