201807561 <br />neither the Seller nor any agent of the Seller has made any representations or warranties of <br />condition to the Buyer. <br />13. Risk of loss to the personal property shall be upon Seller until the time of Closing and <br />thereafter shall be upon the Buyer. Buyer shall purchase and maintain insurance coverage <br />on the Property naming Seller as an additional insured beginning November 1, 2018 (Buyer's <br />possession) until the Promissory Note between the Buyer and Seller is paid in full. <br />14. Seller and Buyer each agree that time is an essential element of this Agreement <br />15. The parties acknowledge that neither party has used a realtor or real estate broker licensed <br />by the State of Nebraska in arranging this transaction and no commissions are payable by <br />either party. <br />16. If Either Seller or Buyer breach this Agreement, then that breaching party shall be liable to <br />the other in the amount of $1,000.00 as liquidated damages. <br />17. No merger; Entire Agreement. The terms, covenants, and conditions to be performed, or <br />which may be performed, subsequent to the date of the closing shall survive the closing and <br />thereafter continue in full effect and shall not merge with the deed. This agreement <br />contains the entire understanding of the parties hereto with respect to the purchase of the <br />subject property by the Buyer and supersedes all prior agreements and understandings <br />between the parties with respect to such purchase. <br />18. All covenants and conditions herein contained shall extend to and be obligatory upon the <br />heirs, assigns, and legal representatives of the parties here to and their estates. <br />19. This Agreement is subject to and shall be governed by and construed and enforced in <br />accordance with the laws of the State of Nebraska, without regard to conflict of laws <br />principles. All actions or proceedings arising directly or indirectly from this Agreement shall <br />be brought in the State or Federal Courts located in Hall County, Nebraska. <br />20. Notice. All notices required to be given hereunder shall be in writing, and, if intended for <br />Seller shall be served upon the office of the Seller and shall be mailed by registered or <br />certified mail, postage prepaid, to the following address: <br />Bosselman Energy, Inc. <br />P.O.
