2018075gi <br />AGREEMENT FOR SALE AND PURCHASE OF PERSONAL PROPERTY <br />KNOW ALL MEN BY THESE PRESENTS: <br />The undersigned Seller does hereby sell to the undersigned Buyers, the following -described <br />Personal Property, more commonly described as the business location including a shop building, office <br />building, three sided structure, and parking area in Grand Island, Nebraska, at 2600 W. 3`d Street, Grand <br />Island, NE 68801 for the price and upon the terms and conditions herein set forth, and the undersigned <br />Buyers does hereby accept said terms and conditions, agrees to pay the purchase price, and to perform <br />the obligations of Buyers hereunder. <br />1. The seller is: Bosselman Energy, Inc., a Nebraska corporation <br />2. The Buyer is: A Helping Hand Moving, LLC <br />3. The location of the Personal Property is: 2600 W 3`d St, Grand Island, NE 68801 <br />1-4// o F lBL >s Cl'i 7 Bakers /DD <br />4. The purchase price is SIXTY SEVEN THOUSAND FIVE HUNDRED DOLLARS ($67,500.00) <br />5. The purchase price shall be paid as follows <br />a. The Buyer will pay an initial deposit of $5,000.00, comprised up of: $1,000.00 <br />deposit from lease dated June 15th, 2018; $1,000.00 rent payment for November <br />2018; $3,000.00 check on the date of signing this agreement. <br />b. The remaining $62,500.00 shall be paid by the Buyer to the Seller in good funds as <br />defined by the Statutes of the State of Nebraska as follows: <br />i. Delivery to Seller of a promissory note of $62,500 from Buyer with <br />payments of principal and interest to Seller over a thirty one (31) month <br />amortization schedule at eight percent (8%) interest, with the first payment <br />to begin on or before December 1, 2018, and the balance due on July 1, <br />2021. The note shall be secured by a mortgage on the Personal Property <br />and a personal guarantee from the Buyer. Said note shall be in a form <br />reasonably acceptable to Seller. <br />1. Buyer's note shall be paid to Seller according to the attached <br />amortization schedule. (See Exhibit 1)These payments shall be paid <br />on or before the due dates as shown in Exhibit 1. On July 1, 2021, <br />Buyer shall pay to Seller the remaining balance of the debt, <br />including principal plus interest. <br />6. Buyers shall be entitled to possession of the property on or before November 1, 2018. The <br />closing of this transaction shall be on or before December 1, 2018. <br />7. The Personal Property is located on leased ground. Seller shall assign all rights to that Lease <br />Agreement (See Exhibit 2) to Buyer upon closing.
