Dowd are unable or unwilling to serve as Trustee then Union Bank & Trust Company of Lincoln, Nebraska ("UBT") shall be automatically appointed as the second successor Trustee of each separate Trust established under the Trust Agreement upon the acceptance of such separate Trust by UBT. By a majority vote of the income beneficiaries of any separate Trust established under the Trust Agreement, the Trustee of such separate Trust may be removed. In the event of a removal of the then acting Trustee, the next successor Trustee nominated by Ruth D. Boeka pursuant to the Trust Agreement shall, upon acceptance of such separate Trust, become the Trustee of such separate Trust. In the event that all named successor Trustees have been removed, a qualified corporate Trustee which has total trust assets of at least $300,000,000.00 and which has indicated its willingness to act as successor trustee shall be selected by a majority of the current income beneficiaries of such separate Trust to act as successor corporate Trustee. 9. The Tax Identification Number of the Trust will be provided by the Trustee to those entitled to receive the same. 10. The name of each beneficiary and their relationship to Ruth D. Boeka as the Grantor of all Trusts established under the Trust Agreement is as follows: a) Michael J. Dowd, Surviving Son b) Janet M. Warner, Surviving Daughter 11. All Trusts established under the terms and provisions of the Trust Agreement were established under the laws of the State of Nebraska and are to be governed by the laws of the State of Nebraska. 3
