those certain $280,000 Taxable Variable Rate Demand Multifamily Housing Revenue Bonds <br />(Riverbend Apartments Project) Series 2001B issued by Issuer (collectively, the "Bonds "). <br />C. Borrower has requested that Lender agree to extend the expiration date of the <br />Letter of Credit, and subject to the terms and conditions of this Agreement, Lender has agreed to <br />do so. <br />NOW, THEREFORE, in consideration of (i) the facts set forth hereinabove (which are <br />hereby incorporated into and made a part of this Agreement), (ii) the agreements by Lender to <br />modify the Loan Documents, as provided herein, (iii) the covenants and agreements contained <br />herein, and (iv) for other good and valuable consideration, the receipt, adequacy and sufficiency <br />of which are hereby acknowledged, the parties hereby agree as follows: <br />4833 -1883- 6326.3 <br />103736 \000096 <br />AGREEMENTS: <br />2. Modifications to Loan Documents. <br />201803263 <br />1. Defined Terms. All terms not otherwise defined herein shall have the meanings <br />given to such terms in the Reimbursement Agreement. <br />(a) The reference to "June 1, 2018" in Section 2.02(a) of the Reimbursement <br />Agreement is hereby replaced with "November 1, 2018 ". <br />(b) The reference to "June 1, 2018" in Section 1.4 of the Deed of Trust is <br />hereby replaced with "November 1, 2018 ". <br />(c) The reference to "June 1, 2018" in Section 3 of the Note is hereby <br />replaced with "November 1, 2018 ". <br />(d) Any references to the "Letter of Credit" in the Loan Documents shall be <br />deemed to mean the Letter of Credit, as amended by that certain Amendment No. 1 to <br />Irrevocable Transferable Letter of Credit Number SLCPPDX04242 dated May 9—, <br />2018 issued by Lender. <br />3. Closing Requirements. Concurrently with the execution and delivery of this <br />Agreement, Borrower shall deliver to Lender: <br />(a) A certificate of no change to the partnership agreement and certificate of <br />formation of Borrower, together with a certificate of good standing of Borrower and <br />resolutions authorizing the execution of this Agreement. <br />hereof. <br />(b) A title search of the Property dated within thirty (30) days prior to the date <br />4. Recording of Modification. Promptly after execution of this Agreement, <br />Borrower shall cause the recordation of this Agreement with the Register of Deeds of Hall <br />County, Nebraska. <br />2 <br />
