Pursuant to the terms and conditions of that certain Letter of Credit <br />Reimbursement Agreement dated as of June 1, 2008 between Borrower and Lender <br />( "Reimbursement Agreement "), Lender has heretofore issued its Irrevocable Transferable Letter <br />of Credit Number SLCPPDX04242 in the face amount of $6,357,425.00 dated June 2, 2008 (the <br />"Letter of Credit "). The Letter of Credit is evidenced by that certain Note dated June 1, 2008 <br />made by Borrower for the benefit of Lender in the original principal amount of $6,357,425.00 <br />(the "Note "), and is secured by, among other things, that certain Deed of Trust, Security <br />Agreement, Financing Statement and Assignment of Rents and Revenues effective as of June 1, <br />2008 from Borrower for the benefit of Lender, recorded with the Register of Deeds of Hall <br />County, Nebraska on June 4, 2008 as Document Number 0200804831 (the "Deed of Trust "). <br />The Deed of Trust encumbers the property legally described on Exhibit A attached hereto (the <br />"Property "). <br />B. The Letter of Credit was issued to enhance the marketability of those certain <br />$6,000,000 Variable Rate Demand Multifamily Housing Revenue Bonds (Riverbend Apartments <br />Project) Series 2001A issued by the Nebraska Investment Finance Authority ( "Issuer "), and <br />
