NOW, THEREFORE, THE PARTIES HERETO HEREBY AGREE AS FOLLOWS: <br />1. The above recitals are incorporated herein by this reference. <br />2. New Borrower hereby unconditionally assumes the Note and Mortgage and agrees to become fully liable <br />and responsible for the debt and all other obligations set forth therein as if New Borrower were the original maker <br />and obligor of the Note and Mortgage. <br />3. Bank hereby consents to said assumption. <br />4. Nothing in this Agreement shall affect or be construed to affect in any way the Note, Mortgage or lien <br />which shall remain in full force and effect and enforceable against Original Borrower and New Borrower in <br />accordance with their terms. <br />5. New Borrower must reside in the property. <br />6. Any indebtedness between Original Borrower and New Borrower, now or existing after the date of this <br />Agreement, is subordinated to the Note and Mortgage. <br />13. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of <br />which together shall constitute one and the same document. <br />201800218 <br />7. All of the representations and warranties made by Original Borrower in the Note and Mortgage are true as <br />of the date of this Agreement. <br />8. No event of default has occurred or is continuing under the Note or Mortgage. <br />9. Original Borrower has no claims, offsets or defenses of any kind against Bank or any other party relating to <br />the Note or Mortgage. <br />10. There are no suits or actions threatened or pending against Original Borrower which affect the enforcement <br />or validity of the Note or Mortgage. <br />11. Notwithstanding Bank's consent to New Borrower's assumption of the Note and Mortgage, such consent in <br />no way constitutes a waiver of Bank's rights with respect to future assumptions which shall require Bank's written <br />consent. <br />12. New Borrower agrees to execute such other documents as Bank may require to document the assumption <br />and to more fully implement the provisions of this Agreement. <br />
