<br />tenants, employees, agents, customers, guests, licensees, invitees, mortgagees, successors and
<br />assigns.
<br />2. Grant of Access and Parking Easement to Grantee. Grantor does hereby
<br />establish, create and grant a perpetual non - exclusive easement in, to, over, across and through
<br />those portions of the Grantor Parcel established by Grantor from time to time as driveways,
<br />entrances, exits and parking areas (the "Grantee Easement Area "), for ingress and egress of
<br />persons and ingress, egress and parking of motor vehicles on, over, across and through the Grantee
<br />Easement Area and to and from adjacent public streets, for the use and benefit of Grantee, its
<br />tenants, employees, agents, customers, guests, licensees, invitees, mortgagees, successors and
<br />assigns.
<br />3. No Barriers. No permanent barriers shall be erected and no action shall be
<br />taken within the Grantor Easement Area or the Grantee Easement Area which would have the
<br />effect of materially and adversely limiting, interrupting, interfering with or restricting the
<br />easement rights granted hereinabove, provided, however, that reasonable non - discriminatory rules
<br />and regulations may be established by Grantor and Grantee from time to time related to the use of
<br />the Easement Areas located on such owner's property. Any improvements placed within the
<br />Grantor Easement Area or the Grantee Easement Area or any portion thereof will provide for the
<br />free flow of pedestrian and vehicular traffic between all portions of the respective parcels in order
<br />to effectuate the easement rights granted in this Agreement, and will fully comply with all federal,
<br />state and local requirements for development and with all matters of record. The provisions of this
<br />paragraph shall not limit or restrict the installation of temporary construction barricades to be
<br />utilized prior to and during construction of new buildings or other improvements within the
<br />Grantor Easement Area or the Grantee Easement Area or adjacent lands, provided, however, that
<br />any such barricades shall be installed and maintained in such a manner as to minimize
<br />inconvenience to or disruption of the use of the Grantor Easement Area or the Grantee Easement
<br />Area.
<br />4. Traffic Control Signage. Each owner shall repave, re- stripe and replace
<br />markings on the surface of the curb cuts, roadways, driveways, aisles, walkways and sidewalks on
<br />their respective properties from time to time as and when necessary so as to provide for the safe
<br />and orderly flow of vehicular and pedestrian traffic over such areas and shall place and maintain
<br />adequate exit, entrance, and other appropriate traffic control signs to direct traffic in and out of said
<br />areas.
<br />5. Reciprocal Utility Easement. Grantor and Grantee hereby grant to one
<br />another a perpetual non - exclusive right and easement for utility purposes, which shall consist of
<br />easements for the existing utilities over and across the Grantor Parcel and the Grantee Parcel, as
<br />well as easements for future utilities which are reasonably necessary to the use and development
<br />thereof, the location of which shall be subject to the approval (not to be unreasonably withheld or
<br />delayed) of the property owner burdened thereby.
<br />6. Alterations and Adjustments to Easement Areas. Each owner specifically
<br />reserves the right, without the need for obtaining consent or approval from any other owner, to
<br />replace, alter or add to any existing buildings or structures located on their respective properties or
