200106579' <br />damage caused to Lot 1 or the buildings or any property situated thereon as a result of the <br />Grantees' exercise of any rights under the Easement shall be immediately repaired by the <br />Grantees and the Grantees shall indemnify and hold the Owner of Lot 1 and its tenants, <br />subtenants, employees, agents and contractors ( "Indemnified Parties ") harmless from and against <br />any and all liabilities, damages, claims, costs, expenses and reasonable attorney's fees incurred <br />by the Indemnified Parties as a result of the Grantees' exercise of the rights granted under this <br />Declaration with respect thereto. <br />3. Miscellaneous. This Declaration will be construed in accordance with the laws of <br />the State of Nebraska. The provisions of this Declaration will be binding upon the Declarant and <br />the Owner of Lot 2 and their respective successors, assigns, heirs, personal representatives to the <br />extent provided herein.
