<br />1. Property. My attorney may take any and all action which my attorney
<br />deems proper regarding land owned by or being acquired by Bonsack Land Company,
<br />LLC. My attorney can buy, sell or exchange any of my real estate or personal property
<br />upon the terms and conditions that my attorney deems proper, and my attorney has my
<br />authority to borrow money and /or pledge assets on my behalf. In furtherance of this
<br />power, my attorney shall have the power to sign and to deliver any instruments needed
<br />for the purchase, sale or transfer of property, now owned or being acquired by Bonsack
<br />Land Company, LLC. My attorney shall have full power to sign, acknowledge or
<br />execute instruments of any kind, or enter into any contracts, deeds or other documents
<br />as may be necessary or advisable to carry out the purposes of this Durable Power.
<br />2. Voting Security Interests. My attorney may vote at Bonsack Land
<br />Company, LLC meetings or otherwise to act as my attorney or proxy, in respect to any
<br />stocks, shares, bonds, debentures, or other evidences of ownership, or securities which
<br />are now or hereafter held by me.
<br />3. Future Acquired Property. Any power given in the Durable Power shall
<br />apply to any property which I may now own or which I may acquire in the future.
<br />4. Business Operating Transactions. My attorney shall have the power to
<br />conduct, engage in, and otherwise transact the affairs of any and all lawful business
<br />ventures of whatever nature or kind that I may now or hereafter be involved in; to
<br />organize or continue and conduct any business which term includes, any farming,
<br />manufacturing, service, mining, retailing or other type of business operation in any form
<br />whether as a proprietorship, joint venture, partnership, corporation, trust or other legal
<br />entity; operate, buy, sell, expand, contract, terminate or liquidate any business; direct,
<br />control, supervise, manage or participate in the operation of any business and engage,
<br />compensate and discharge business managers, employees, agents, attorneys,
<br />accountants and consultants; deal with governmental farming agencies and in general,
<br />exercise all powers with respect to business interests and operations which the principal
<br />could if present and under no disability.
<br />5. Durability. This Durable Power is effective even though I am disabled,
<br />and will continue in effect after my death until my attorney is notified of my death.
<br />6. Farm Programs. My attorney may enter into any arrangements or
<br />contracts with the United States Department of Agriculture or any of its committees, or
<br />with the Farm Credit. Services of America, to conduct any business, or to participate in
<br />any agricultural programs, and to sign the papers in connection therewith for me in my
<br />name or as a member of Bonsack Land Company, LLC, and to acknowledge and
<br />deliver said papers and contracts and to receive payments thereunder and to endorse
<br />any checks or drafts for said payments and deposit them on my behalf.
<br />7. Authority Shall Continue After My Death Until Notice Received. I declare
<br />that, all such authority shall continue after my death, until notice of such death shall
<br />have been received by my attorney so that he /she has actual knowledge of the fact that
