2� 1 ��7977 � S�ction 3.�3. Na Encumbran�es on Trust Estate. The �'rrantor wxX� not cr�ate, incur, suffer ar perm�it to e�ist any Lxen an any of the Trust Estate, e�cept for Permitted Encumbrances. Except for claims gi�ing rise to Pern�.a.tted Encumbrances, the Grantor will prompt�y pay or dxs�harge any and all�blibatians for or on account af which any such Lxen might exist. Sect�on 3.�4. Sa1e or Transfer of Trust Estate. The Grantor shall not se��, �ease or transfer any of the Trust Estate to any person or entity except as permit�ed xn the Lease I3�cum�nts. Secti�n 3.�5. Payment of�bligatians. The �'rrantor wil� �ake or cause to be taken al� such actian as may from time to txme be necessaxy to obtain, preserve and renew all franchises, rights af way, easements, permits, and licenses now or hereafter granted or upan it conferred neces sary to the operat�ons �f the C rantor, and will c�mp�y in al� materia�respects wxth a111aws, ordinances, regu�atxons, and requirements applicab�e to it or the Trust Estate. Sectian 3.�7. Maintenance of Trust Estat�. The Grantor will at al� times masntain and preser�e the Trust Estate and ea�h and e�ery materiax part and parceX th�reof �n good repair, working order and conditxon, ordinary wear and tear excepted, and �n material compliance wxth a1� appl�cab�e �aws, �rdinan�es, regulations, and requirements, and w�ll from t�m.e to time make a�� needed and pr�per repairs, ren�wals, and repiacements, and usefu� and proper al.terations, additions, betterments and impro�ements, and wi�1, subject to cont�ngencies beyond �ts reas�nable contral, at a�l times ke�p i�s pXan� and propertr�s in continuous aperating condition and us� all reasonable diligence to furnish the cansumers served by it through the Trust Estate, ar any part thereof, w�th adequate servxces furnished by the Cran�or. Sectxon 3.��. Insurance; Restorat�on af Damaged Trust Estate. The Crrantor wx�� ma.xnta�.n insurance as requ�red by the Lease D�cuments. In the event of damage to or the destructx�n ar Iass of any portxan af the Trust Estate, unless the Benefxcxary sha�X otherwxs� agree, the Grantor sha�l replace or restore such damag�d, destroyed or �ast port�on so that �he Trust Estate shal.� be in substan�xal�y the same c�nd.Ytion as it was �n priar to su�h damag�, destruction or loss. Pravlded na Potential Defauit or E�ent of DefauXt then e�xsts, the Benefxcxary sha11 pro�ide to the Grantor any insurance proceeds recex�ed by the Beneficxary u�on such reasonable terms and cond�tions as the Benef�ciary may requir� to ensure that such proceeds are used for the forego�ng purp�se and that such required repiacement ar restarat�an w��l be completed.
