In the e�ent of any <br /> assignment of a Borr�wer-�perator Agreement, as a condition t� such ass�gnment, the new <br /> �perator must execute a Healthcare Regulatory Agre�ment—�perator �Farm HUD-92466A- <br /> �R�F}, as approved by HUI], an �perator S�curity Agreement (Forrn-HUD-92323-�R�F} and <br /> depos�t account cantro� agre�ments in f�rm and substanc� satxsfactory to Lender and HUD. <br /> (b� With�ut the pri�r written appraval of HUD, a Borrower-�perator Agreement <br /> sha�l not be amended so as to �i� materxally increase any management f�es or�ther payments <br /> pa�d by Borr�wer thereund�r, �ii� materially increase the oh�xgations of Borrower or the rights �f <br /> �perator, �iii� materially decrease the rights �f BorroWer or the ohligati�r�s of�perator, or�iv� <br /> alter any provision of any Borrower-�perator Agreement that HUI3 requir�d to be includ�d <br /> therein. Pr�or writt�n n�tice of and subsequent executed cop�es of a�l amendments to any <br /> B�rrower-�peratar Agreement sha11 be pr�mpt�y provided to HUD and the Lender. <br /> 13. MANA�EMENT AGREEMENTS. No prop�rty management agre�ment <br /> relating t� the Healthcare Facility or any porti�n of the Proj ect �"Mana�ement Agreem�nt"} <br /> sha��be executed unless such Management Agr�ement is approved by HUD. Any management <br /> agent must be approv�d by HUD and must execute and de�iv�r a Manag�ment Agent <br /> �ertificat�or�—Res�dentia� �are Facilities (forrn HUD-9839-�R�F, �r successor form} �n such <br /> form as approved hy HUD. Any Management Agreement shall contain the fal�owing provisions: <br /> �1} the Manag�ment Agreement shal�terminate without penalty upon fai�ure to comp�y w�th the <br /> provis�ans of the Management Agent �ert�fication to HUD, or for ather gaod cause, includ�ng <br /> wrthout lim�tation for vio�ations of the Borrower's Regulatory Agreement, �perator's <br /> Regu�atory Agreement, andl�r Master Tenant's Regulatory Agreement, if any, thirty (3�} days <br /> after HUI] has rnailed the �perator a written notiGe of its desire to terminate the Management <br /> Agreement; (2} in the event that HUD determine s that any o f the Permits and Approvai s <br /> reasanably necessary to operate the H�althcare Facility is at substantia� and imminent risk of <br /> be�ng terminated, susp�nded or otherWise restricted, if such term�nation, suspension�r�ther <br /> restr�ction would ha�e a materia�ly adverse effect an the Project, the Management Agreement <br /> sha1�terminat� immediately Without pena�ty upon HLTI]'s issuance of a natice of terminatian to <br /> �perat�r and Agent; and �3} the Management Agreement may nat be assigned�vithout the�rior <br /> written appr�val �f HUD. Upon request for termination, �perator shall immediately arrange ta <br /> terminate any such Management Agreement and sha�l make arrangements satisfact�r�t� HUD <br /> for the continuing proper management of the Hea�thcare Facility and the Proj ect.
