<br /> "�perator Lease"means a lease by Borrower to �perator providing for the aperati�n�f the

<br /> "�perator's Regulatory Agreement"means that certain Healthcare Regulatary Agreem�nt--
<br /> �perator, r��ating to the Project and entered into b� �p�ratar f�r the benefzt �f HUD.
<br /> "�perator's Security Agreement" means that certain �perat�r Secur�ty Agreement relat�ng ta
<br /> the Pr�ject, and made b� �perator.
<br /> "Persona�ty"means a11 equipment, in�entory, and general intangib�es ass�ciated w�th the
<br /> H�althcare Facility andlor the Project. It inc�udes furn�ture, �I'I115�1�r1�5, beds, machinery,
<br /> bu��ding mater�als, appiiances, gaads, suppl�es, t�a�s, baa�s, records �whether�n written or
<br /> el��tronic form�, computer equipment �hardware and s�ftvvare} and�th�r tangible or
<br /> electronxcaily stored personal property �other than Fixtur�s} that a.re owned, �eased or used n�w
<br /> or in the future in cannection with the ownership, management or aperation of the Healthcar�
<br /> Fa���xty andl�r any other portion of the Project, or are l�cated�n the Land or in the
<br /> Improvernents, and any operating agreements relating to the Proj ect, and any surveys, p�ans and
<br /> specifications and �ontracts for architectura�, engin�ering and�onstruction servic�s re�ating to
<br /> � the Praj ect, and al� other intangib�e pr�perty and rights relat�ng to the operation of, or used in
<br /> c�nnectian with, the Proj ect, inc�uding all certificatians, a�provals and governmenta�permits
<br /> re�ating to any a�ti�ities on the Land. Personalt� inc�udes a11 tangible and intangib�e personal
<br /> property used in connectian with the Hea�thcare Fac��ity �such as majar movable equipment and
<br /> systems}, accounts, Ii�enses, b�d auth�rities, certificates �f need required to aperat�the
<br /> H�a�thcare Facr�ity and to receive benefits and re�mbursements under provider agreements with
<br /> Medicaid, Medicare, State and �acal programs, payments from hea�thcare insurers and any other
<br /> assistance�roviders; all cert�fications, permits and approvals, instruments, Rents, l�ase and
<br /> contract ri�hts, and equipment �eases relating ta the use, �peratzon, maintenance, r�pa�r and
<br /> improvement af the Healthcar� Facility. Generally, �ntangibles shal� als� in��ude a�1 cash and
<br /> cash escr�w funds, such as but not Iimited to: reserve for re�lac�ment accounts, debt servic�
<br /> reserv� accoun.ts, bank accounts, Residual Rece�pts ac�ounts, and investments.
<br /> "Princxpal" is defined in Z4 �.F.R. 2��.�15, or any successor regu�ati�n.
<br /> "Pragram �b�igations"means �1} all applicable statutes and any regulatians issued by HUI]
<br /> pursuant theret� that apply t� the Proj ect, including a�1 amendments to such statutes and
<br /> regulations, as they�e�am� effective, except that changes subject to not�e� and comment
<br /> rulemaking sha11 became effect��e �nly upon completian of the rulemaking process, and �2} al�
<br /> current requirements xn HUI] handbooks and guides, notices, and mortgagee Ietters that apply to
<br /> the Proj ect, and al1 future updates, changes and amendrnents thereto, as they bec�me effective,
<br /> except that chang�s subj�ct ta not�ce and comment rulema�ing sha11 become effe�tive �n�y upan
<br /> camp�etion af the ru�emaking process, and�r�vided that such future updates, changes and
<br /> amendments sha�� be applicable t� the Proj ect anly to the extent that they interpret, clar�fy and
<br /> implement terms in this S�curity Instrument rath�r than add or de�ete prov�sions fr�m su�h
