<br /> security agreem�nt, purchase or sa�es agreement, or any other agr�ement, in�a�vr�f any other creditor vr person
<br /> that may materially aff�c# any of Barrower's, any guarantvr's ar �rantor`s prvpe�y or abi�ity tv perform their

<br /> mater�a� resp�ct, ei#her now or at the time made or furnished or becomes �alse or misleading a# any time

<br /> De�ectir►e Collaterali=ation. This Assignm�nt or any of�he Related DoGuments ceases fa be in fufi for�e and effect
<br /> �in�luding fai�ure vf any cvllateraf dvcum�nt�v create a�alid and p��fiec��d security interest or lien} at any tim�and
<br /> for any reason.
<br /> Death o�Insol►►ency. The dissvlution �r terminat�on of Borrower's or Gran�ar's existence as a go�ng business, the
<br /> insolvency of Bor�vw�r ar Grantor, the appv�n�ment a�F a recei�er far any par� o�gflrrower's or G�-antor's property,
<br /> any assignm�nt far the benefit of credit�rs, any type vf creditor wvrknu#, vr the cvmmencement vf any proceeding
<br /> under any bankruptcy or insvi�en�y iaws by or against gorrower or Gran�ar.
<br /> Creditvr or Forfei�ure Proceedings. Commencement a�forec��sure or fvrfei�ure proceedings, whe#her by judicial
<br /> proceeding, se�f-he�p, repossession or any other m�tnod, by any creditar of Bflr�-ower or Gran#ar vr by any
<br /> gavernmental ag�ncy against#ne Rents or any prop�rty securing th� lndebtedness. This inGludes a garnishment�f
<br /> any o�E3vr�-ower's or G�-ant�r's acc�unts, including deposit accoun�s, with Lend�r. Howe�er, �h�s E�en#o�Default
<br /> shafl nat apply if�her� is a gQod �aith dispute by Borraw�r or Gran�or as to the �alidity or reasonableness of�he
<br /> cfaim which is the basis �f the creditor vr fo�-feiture proceeding and i� Borrower or Grantor gives Lender written
<br /> no�i�e of the creditor vr forfeiture proceeding and depvsifs w�th Lend�r mon�es or a surety band for the creditor or

<br /> �ndebtedness or any Guaranfor d�es or becvmes incamp�tent, or re�okes or disputes th� �alidity af, or lia�i�ity
<br /> under, any Guaranty ofi�he �ndebt�dness.
<br /> Ad�erse Change. A materia� ad�erse change occurs in Grantor's �inancial condition, or Lend�r bel�e�es �he
<br /> praspec�af paym�nt or per�orman��o�the lndebtedn�ss is impaired.

<br /> Cure Prv►►�s�ons. If any default, �ther than a de�ault in paym�nf, is curable �nd if Grantor has not b�en gi�en a
<br /> notice of a breach of#he same prv�isivn ��this Assignmen� within the preceding twef�e {1�} mvnths, it may be
<br /> cured if Grantor, after Lende� s�nds written notice to Borrawer demanding Cure ofi such default: �1� cures the
<br /> defaul� with�n �hirty �3D} days; or �2} i��he cure requires more �han �hirfiy �3C]} days, imm�dia�e�y �nitiates steps
