200003380 <br />(b) Mortgagor shall fail to make as the same becomes due any payment <br />required to be made by Mortgagor under the terms of this Mortgage <br />or under the terms of the 2000 Notes or the Existing Obligations for <br />amounts due other than for principal or interest; <br />(c) Mortgagor shall fail to perform and observe any and all of Mortgagor's <br />covenants and obligations, other than for payments, under the terms <br />of this Mortgage, the 2000 Note Purchase Agreement, the 2000 <br />Notes, the Existing Obligations or the other Operative Agreements, or <br />be in default under any of the conditions therein specified; <br />(d) any other Event of Default as defined or described in the 2000 Note <br />Purchase Agreement or the Second Addendum shall occur. <br />B. Remedies. <br />Section 3.2 Upon the occurrence of any default hereunder, Mortgagee may at its option <br />and without notice, declare the whole of the principal remaining unpaid on <br />the 2000 Notes, all accrued interest thereon, and other amounts due under <br />any of the Operative Agreements, immediately due and payable and the <br />Mortgagee may at its option institute proceedings for the collection at law or <br />in equity of all indebtedness due under the provisions of the 2000 Notes, this <br />Mortgage and the other Operative Agreements. <br />Section 3.3 Upon the occurrence of any default hereunder, Mortgagee may immediately <br />cause this Mortgage to be foreclosed in the manner prescribed by law and, <br />upon the commencement of foreclosure proceedings, Mortgagee shall, to <br />the fullest extent permitted by law, be entitled to have a receiver appointed <br />whether the Collateral be homestead or not and without proof of any <br />grounds for such receiver's appointment other than said default with such <br />receiver to take possession and charge of the Collateral during the <br />pendency of said foreclosure proceedings and during any period permitted <br />for redemption or stay of proceedings, to rent the same and to receive and <br />collect the rents, issues and profits thereof, under direction of the court and <br />any amount so collected by such receiver shall be applied under direction of <br />the court upon the costs and expenses of receivership, expenses of <br />insurance on the Collateral, expenses of management, repairs and <br />maintenance, taxes, assessments and on all indebtedness secured by this <br />Mortgage. Mortgagee shall have the right to bid at any foreclosure sale, and <br />to obtain a judgment in respect to any deficiency. Mortgagor agrees in the <br />event of foreclosure proceedings to pay such reasonable attorneys' fees as <br />are authorized by law, together with the cost of extending the abstract, title <br />report and all court costs. <br />2000 MORTGAGE <br />(Grand Island, Nebraska) <br />21 <br />
