<br /> Furth�r Assurances. At any t�me, and f�om time t❑ t�me, upon request ❑f Lender, Trustar wi�� make, execute and
<br /> (��IiVE�r or wil� cause to be made, executed or delivered, ta Lender or ta Lender's designee, and when reques�ed by
<br /> L�nder, cause �o be �iled, recorded, refifed, or rerecorded, as the case may be, at such times and in such offices
<br /> and piaces as Lender may deem appr�priate, any and all such mortgages, deeds ❑f t�ust, security d�eds, security
<br /> agreements, �inancing statements, continua�ian statements, ins�t�uments o# further assurance, certi�i�ates, and
<br /> ather documenfis as may, in �he sole opin�vn of Lender, be necessary or desirabke in arder ta effectuate, �vmpfete,
<br /> perfect, continue, or preser�e t�� Trus�or's obligativns under �h� No�e, this Deed of Trust, and the Refated
<br /> Docum�nts, and �Z� the liens and security int�rests created by this Deed vf Trust on the Properfiy, whether now
<br /> owned o� hereafter acquired by Trustor. LJniess prohibited by law �r Lender agrees to the contrary in writ�ng,
<br /> Trustor shall reimburse Lender�or a11 �osts and expenses incurred in connection with the ma#ters re#erred t� in this
<br /> paragraph.
<br /> Attorney-in-Fact. If Trustar fai�s to do any of the things refe�red ta in the preceding paragraph, Lender may dv sv
<br /> for and in the name of Trustor and at Trustar's expense. For such pu�pases, Trus�ar h�reby irre�ocably appaints
<br /> Lender as Trustvr`s a�t�rn�y-in-fact fo�the purpose v�mak�ng, executing, deii�ering, �iling, recording, and doing all
<br /> other �hings as may be necessary ar desirable, �n Lender's sale opinion, to accomp��sh the matte�s referred to in
<br /> the preceding paragraph.
<br /> FULL PERF�RMANCE. �f Trus�or pays all �he Ind�btedness when due, and otherwise performs a�( the obligativns
<br /> imposed upan Trustor under �his ❑eed af Trust, Lender shal� execute and deli�er to Trustee a request for fiul�
<br /> re�on�eyance and sha(f execu�e and deli�er to Trustvr suitable statements o�termination ❑f any financing statem�nt ❑n
<br /> file e�idencing Lender's se�urity interes�in�he Rents and the Personal Prope�ty. Any recvnveyance fee required by law
<br /> shall be paid by Trustvr, if permitted by app�icah�e law,
<br /> EVENTS aF ❑EFAULT. Each v�the following, at Lend�r's optivn, shall constitute an E�ent o# ❑efault under this Deed
<br /> af Trus�:
<br /> Payment�efau�t. Trustor fai�s to make any payment when due under�he Indebtedness.
<br /> Qther Defaults. Trus�or faifs to comply with or �o pe��orm any other term, v#�liga�ion, co�enant ❑r condition
<br /> contained in �his Deed of Trust or in any ❑f �he Relat�d Dvcuments �r to camply with or to perform any �erm,
<br /> obligativn, co�enant vr�andition cnntained in any oth�r agreemen�between Lender and Trus�or.
<br /> Compl�ance ❑efault. Faiiure �o �omp�y v►rith any other term, �bfigativn, co�enant or condition contained in this
<br /> Deed of Trus�, th� Note or in any o�the Relat�d Docum�nts.
<br /> Default an�ther Payments. Fa�lure af Trustor within the time required �y this Deed ofi Trust ta make any payment
<br /> �for taxes ar�nsuranCe, or any o�her paymen�necessary ta pre�ent filing ofi or to effect discharge af any lien.
<br /> De�ault in Favor o#Third Parties. 5hould Grantor default under any loan, extensivn of �redit, securi�y agreement,
<br /> purchas� �r sales agreement, o� any other agreemen�, in fa�or of any other �redi�or ar person tha� may ma�erially
<br /> af�e�t any of �rantor's property or Grantar's ability to repay �h� Indebtedness or Grantvr`s abi�ity to per�orm
<br /> Grantor's obligations under�his ❑eed o#Trust or any of�h� Related Documents.
<br /> Faise 5ta�tements. Any warranty, representation or sta�ement made ar fu�nished to Lender by Trustor ar on
<br /> Trustor's behalf under this ❑e�d of Trust vr the Relat�d Documents is �alse ar m�sleading in any materiaf respect,
<br /> either nvw or at the time made or furnished flr hec�mes�afss ar misleading at any time th�rea�ter.
<br /> Defecti�e Cvlia#eralizativn. This Deed of Trust or any o� the Rela�ted flocuments ceases to �e �n full �orce and
<br /> effect �incfuding failure vf any collateral document �fl crea�e a �alid and perfected s�cur�ty �n�erest ❑� lien� at any
<br /> time and�or any reasfln.
<br /> lnsvlvency. The dissvlution or termination o# Trustor's existence as a go�ng business, the insol�ency a� Trus�or,
<br /> the appvintment of a recei�er for any part of Trustor's proper�y, any ass�gnment �or th� benefi� vfi c�ed��ors, any
<br /> �ype of creditor workoufi, or�he cQmmencement o�any proceeding under any bankruptcy or insal�ency laws by or
<br /> against Trustor.
<br /> Creditvr vr Forfeiture Prv�eedings. Commencement of farec�osure ar for�e�ture proceedings, whether k�y judicial
<br /> proceeding, se��-help, repossession a�any other me#hod, by any creditor o#Trustor or by any ga�ernmenta! agency
<br /> against any property securing the �nde�tedness. This includ�s a garnishment vf any of Trustar's accounts,
<br /> including d�posit ac�aunts, with L�nder. How���r, this E�ent of De�ault shall not apply if �here is a good faith
<br /> dispute by Trustvr as to �he �a�idity or reasonableness vf the �laim which is the hasis af the creditor or farf�itu�e
<br /> proceeding and if Trustor gi�es Lender ►rvritten notice af the creditor or �or�eiture proceeding and dep�si�ts w�th
<br /> Lender monies or a sure�y bond for the creditar or forfei�ure proceeding, in an amvunt de�ermined by Lender, in its
<br /> sole discretion, as being an adequa�e reser��or bond for the dispu�e.
<br /> Breach o#��her Agreem�nt. Any breach hy Trustor under the terms of any other agreement be�ween Trus�or and
<br /> Lender that is nat remedied within any grace period prv�ided therein, including withaut limita�ion any agreement
<br /> concerning any indet�tedness or other obligativn o�Trus�ar�o Lender, whether existing now or later.
<br /> E�ents Affecting Guarantor. Any of the preceding e�en#s ❑ccurs with respect#o any guarantor, endors�r, surety,
<br /> or accommodativn par�y o� any of the lndebtedness or any guarantor, endorser, surety, or accommvdation party
<br /> dies or becQm�s incompetent, �r �e�okes or disputes the �alidity o�, or liabili�y under, any Guaranty of �he
<br /> lndebt�dness.
<br /> Adverse Change, A rnaterial ad�erse change o�curs in Trus#or's #inancial condition, or Lender �aelie�es th�
<br /> praspect o'�payment or per�armance a�the Indebtedness is impaired.
<br /> Insecurity. Lender in good fai�h belie�es i�self insecure.
<br /> Exist�ng Indeb�edn�ss. The payment ❑f any installmen�of principa� or any inte�est on the Existing Indebtedness is
<br /> nat made wi�hin�he time required by the promissvey no�e e�idenc�ng such indebtedness, or a de�aul�o��urs under
<br /> the instrumen�securing su�h indebtedness and is no��ured during any applicab�e grace period in such instrument,
<br /> or any sui�or other a��ivn is commenced to fo�e�lose any existing iien on th� Praper�y.
<br /> Right to Cure. l�any defauit, o�her than a de#aul�in payment, is curable and if Trus�or has nvt t�een gi�en a notice
<br /> vf a brea�h of the same prv�isivn of this Deed of Trust within the preceding twel�e �12� months, it may be�ured if
<br /> Trus�or, after Lender sends wri��en natice ta Trustor demanding cure o�such default: �1� cures the de�aul�within
<br /> twenty 4243 days; or {2} if �he cure requires mor� than �wenty {��} days, immediately ini�iates steps which
<br /> Lender deems in Lender's sol� d�scretion �a be su#ficien� to cure the defaul� and thereafter continues and
<br /> completes all reasana�le and ne�essary steps sufficient t� produce compliance as saon as reasonably practical.
<br /> RIGHTS AND REMEDiES ❑N DEFAULT. I�an E�ent o� ❑e�ault❑c�urs under this ❑eed af Trust, at any �ime thereafter,
<br /> Trus�ee or Lende� may exercise any�ne or more af the�a��vwing rights and remedies:
<br /> Accelera�ion Upfln De�ault; Addi�iona� Remedies. �f any E�ent af Default occurs as per fihe �erms of the Note
<br /> secured herehy, Lend�r may declare a[f Indet�tedness se�ured by�his Deed o�Trus�t❑ be due and payabl� and
<br /> the sam�shali thereupon become due and payable with�ut any presentment, demand, protest or natice o�any
<br />
