<br /> business ❑r the death of any member, the insol�en�y o� Trustor, the appointm�nt of a rece���r fvr any part �f
<br /> Trustor's prvperty, any assignment for the bene�it vf credi�ors, any type v� creditor w�rkau�, or �he
<br /> �amm�ncement of any prviceeding und�r any bankruptcy or insol�ency laws by vr against Trustar.
<br /> Creditor ❑r Forfeiture Proceedings, Comm�ncement of �oreclosure or �or#eiture pr���edings, wh�ther by �udicia€
<br /> pro�eeding, self�help, repassess�on ar any other method, by any credita�o�Trus�or vr by any gavernmen�al agency
<br /> against any property securing the Indebtedness. This inc�udes a ga�nishmen� vf any o# Trustor's accounts,
<br /> including deposit accounts, with Lender. Hawe�er, this Event of �7efau[t shall not app�y if there is a good faith
<br /> dispute by Trustor as to �he �a�idity or reasonableness of th� �1aim which is �the basis of the �reditar o� farfei�ure
<br /> prvc�eding and if Trus�or gi�es Lender written notice o� �he creditor or forfeiture proceeding and d�pvsits with
<br /> Lender monies or a sur�ty �Qnd for th� cred�tor or�orfeiture pro�eeding, in an amount determined by �ender, in its
<br /> sole discretivn, as being an adequa�e reser�e vr bond for th�dispu�e.
<br /> Breach vf 4ther Agreement. Any breach by Trus�or under the terms of any o�her agrs�men� between Trustar and
<br /> Lender �hat is not remedied within any grace period prv�ided therein, including without limita�ion any agreement
<br /> cvncerning any indehtedness or ather vb[igatian❑f Trusto�to Lender, whether existing n�w or later.
<br /> EWents A�fecting Guarantor. Any of the pre�eding e�ents occurs with respec� to any Guarantor o# any vf �he
<br /> Indebtedness or any Guarantor dies or be�omes incompefient, or re�okes or disputes the �alidity o�r, or liability
<br /> under, any Guaranty ❑f�he Indebtedness.
<br /> Ad�erse Change, A mat�rial ad�erse change occurs �n Trus�or's ��nancial cond€t�an, vr Lender belie�es the
<br /> prospect of paymen�or pe��ormance of the Indebtedness is impaired.
<br /> Inse�uri#y. Lend�r in good�aith belie�es itself insecure.
<br /> Right ta Cure. I�any defau�t, other than a default in payment, �s curable and �f Trustar has not been gi��n a notice
<br /> of a hreach of the same pro�isivn af this Deed ❑f Trust within the preceding twel�e t 12� mvnths, it may be cured '€�
<br /> Trustvr, after L�nder sends written n�tice�v Trustor demanding cure o�such de�au[t: �1} cures the default within
<br /> twenty ���� days; or {�� if the cur� requires mare than �wenty t203 days, imm�diately initiates s�eps which
<br /> Lend�r deems in Lende�'s sole discret�on �v be suffiicient to cure the defau[t and �herea�ter continu�s and
<br /> c�mpletes all reasvnable and necessary steps suff�cient to produce �ompliance as soon as reasonably pra�tical.
<br /> R1GHT5 AND REMEDIES �N DEFAULT. I�an E�ent af D��aul�accurs under this IJeed a�Trus�, at any time thereafter,
<br /> Trustee or Lend�r may exerc�se any one ar more of the�allawing rights and remedies:
<br /> Accelera�ian Upon Defaul�; Additiona! Remedies. lf any E�ent of Defau[t ❑ccurs as per the terms of the Nv�e
<br /> secured hereby, L�nder may dec�are all lndehtedness seGu�ed by this ❑eed o�f Trus�to b�due and payable and
<br /> the same shall thereupon become due and payable without any presentment, demand, prates�vr notic�of any
<br /> kind� Thereafter, Lender may:
<br /> �a} Either in persan ar by agent, w�th or with�ut bringing any action or praceeding, or by a re�ei�er
<br /> appointed by a caurt and without re�ard �❑the adequacy ofi its securi�y, enter up�n and take possessian
<br /> ❑f the Proper�y, or any par�thereo�, in its vwn name or�n the name of Trust�e, and do any acts which it
<br /> deems necessary or desirable to preser�e the vaiue, marketab��ity or ren�ability of the Property, or part of
<br /> the Property ❑r in�te�est �n th� Proper�y; incr�ase the incom� from the Property or protect the security v�
<br /> �he Prvpe�ty; and, with ar without taking pvssession of the Praper�y, sue fo� vr otherw�se �olle�t the
<br /> ren�s, issues and prfl�its of the Property, inc�uding those past due and unpaid, and appfy the same, less
<br /> costs and exp�nses of operation and colle�ti�n attorneys' f�es, to any indebtedness se�ured by�his Deed
<br /> of Trust, all in such order as �ender may d�termine. The entering upon and taking possession o� the
<br /> Prvperty, the collec�ivn o� such rents, issu�s and profits, and �he appl�cation thereo� shall no� cure or
<br /> wai�e any de�ault or natice ofi default under this Deed o�Trus�vr in�aiidat� any act done in response to
<br /> such default or pursuant to such n�tice of default; and, natwi�hstanding the continuance in pvssession af
<br /> the Property ar the col�ection, �eceipt and application o� ren�s, issues vr prvfii�s, Trustee vr Lender shall
<br /> be entitled to exer�ise e��ry right pro�ided �or in �he No�e or the Related Docum�nts or by law upon the
<br /> occurrence of any e�ent af defauft, including the right to exercise the power❑f sale;

<br /> For��losure by Power af 5ale. If L�nder e�ects�v forec[ose by exercise❑#the P�wer a�Sale herein contained,
<br /> Lender shaf� notify Trustee and shalf deposit wi�h Trust�e this Deed af Trus� and the Note and such receipts
<br /> and e�idence v�expenditures made and secured by this Deed of Trust as Trus�ee may �equire.

<br /> �he Property at the time and place o� sale �ixed hy it in such Notice of Sale, either as a whole, or in

<br /> at public auctivn to the highest bidder for cash in lawful money of the lJnited States payable at the time
<br /> ofi sa�e. Trustee shall deli�er to such purchaser vr purchasers thereof its good and sufficient deed or
<br /> deeds con�eying the property so sold, but without any co�enant or warranty, express or implied. The
<br /> recitais in such deed of any ma��ers or �facts shall b� conclusi�e proo� of the truth�ulness thereo#. Any
