Borrower to Lender and retention of Lender's first Deed of Trust lien in and to the real <br />estate to be conveyed by Borrower, <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained, <br />it is agreed: <br />1. Consent to Transfer. Lender hereby consents to a transfer of the real estate <br />hereinabove described by Borrower to Paul P. Pankonin and Jessica L. Pankonin, <br />husband and wife, so long as the existing encumbrance on such real estate shall remain in <br />first position and Borrower shall also remain obligated to Lender upon the indebtedness. <br />2. Waiver of Due on Sale or Transfer Rights. Any rights to accelerate <br />indebtedness contained within the Deed of Trust or the promissory note for which the real <br />estate described in the recitals above is identified as security ( "Promissory Note ") are <br />hereby waived only as to the transfer identified in Section 1 of this Agreement. <br />3. Continuing Security. Borrower shall continue to remain personally liable in <br />respect to all remaining indebtedness evidenced by the Deed of Trust and the Promissory <br />Note. The Deed of Trust in favor of Lender herein referenced shall remain as a first <br />encumbrance upon the real estate described in the recitals above. <br />4. Continuing Effect. Except as specifically supplemented or amended by this <br />Agreement or the Promissory Note and the Deed of Trust, the obligations originally <br />contained in the Deed of Trust, Promissory Note and all other previous agreements <br />between the parties hereto shall continue and remain in full force and effect and Lender <br />shall continue as a Loss Payee in respect to property insurance to be maintained as a <br />condition to the sale hereby consented to. <br />IN WITNESS WHEREOF, the undersigned have executed this Agreement <br />effective on the date first noted above. <br />STATE OF NEBRASKA ) <br />)ss: <br />COUNTY OF HALL ) <br />The foregoing instrument was acknowledged before me on the ? nt'L day of <br />e ) 2015, by Anthony V.
