KNOW ALL MEN BY THESE PRESENTS: \'
<br />WHEREAS, G.I.S.C. Land Development, L.L.C., a limited
<br />liability company ( "GISC") is the owner of the property described
<br />as Lots 3, 4, 5, 7, 8, 10, 11, 12 and 13, Richmond Subdivision in
<br />the City of Grand Island, Hall County, Nebraska; and
<br />WHEREAS, Grand Island Surgical Center, L.L.C., a Nebraska
<br />limited liability company ( "Surgical Center ") is the owner of Lot
<br />9, Richmond Subdivision in the City of Grand Island, Hall County,
<br />Nebraska (the "real estate "); and
<br />WHEREAS, GISC and R & T Development Corporation, a Nebraska
<br />corporation, entered into Declaration of Restrictive Covenants
<br />which were filed with the Register of Deeds of Hall County,
<br />Nebraska, on October 19, 1998, as Document No. 98- 110204 hereafter
<br />referred to as "the Covenants "; and
<br />WHEREAS, GISC amended the Covenants through the Addendum to
<br />Declaration of Restrictive Covenants which were filed with the
<br />Register of Deeds of Hall County, Nebraska, on December 27, 1999,
<br />as Document No. 0099112182, hereafter referred to as "the Amended
<br />Covenants "; and
<br />WHEREAS, Paragraph 8 of the Covenants provides the terms and
<br />conditions for modification of the Covenants by owners of two -
<br />thirds of the lots of Richmond Subdivision; and
<br />WHEREAS, GISC and Surgical Center own more than two- thirds of
<br />the lots of Richmond Subdivision and desire to amend the terms and
<br />conditions of the Covenants with respect to the real estate owned
<br />by Surgical Center;
<br />NOW, THEREFORE, IT IS AGREED and determined by GISC and
<br />Surgical Center as follows:
<br />1. Except as set forth herein, the Covenants and Amended
<br />Covenants shall remain in full force and effect.
<br />2. Paragraph 7(b) of the Covenants is hereby amended with
<br />respect to the real estate and the following is substituted as the
